BCG Attorney Search represents a law firm in Nashville, TN seeking an experienced Corporate and Securities Counsel to advise public companies on securities, governance, and capital markets with a reduced billable-hour requirement.

You will handle matters for Nasdaq and NYSE-listed clients, including proxy statements, annual meetings, Form 10-K/10-Q/8-K reporting, and regulatory compliance, delivering high-quality legal counsel and client service.

Qualifications

• 8+ years of corporate and securities experience.
• Experience with public companies and large firms or in-house/SEC preferred.
• Licensed to practice law in the relevant jurisdiction or eligible for licensing.

Responsibilities

Duties

• Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters.
• Handle securities offerings and capital markets transactions.
• Manage periodic reporting on Forms 10-K, 10-Q, and 8-K.
• Oversee proxy statements and annual shareholder meeting matters.
• Ensure compliance with Section 16 reporting and beneficial ownership.
• Provide corporate governance and board advisory services.

Requirements

• 8+ years of corporate and securities experience.
• Experience at a large regional or national law firm, in-house legal department, or the SEC preferred.
• Substantial experience advising public companies.
• Excellent academic credentials and strong analytical abilities.
• Outstanding written and oral communication skills.
• Licensed to practice law in the relevant jurisdiction or eligible for licensing.

Education

• Juris Doctor (JD) degree required.
