Qualifications

  • 5+ years of federal contracts administration experience, including FAR/DFARS-governed contract vehicles (e.g., IDIQs, BPAs) and non-FAR instruments such as OTAs.
  • Certifications: CPCM, CFCM, CGCO, CPA, CGAP, PMP, CPSM, Lean Six Sigma preferred.
  • Strong understanding of contract types (IDIQ, OTAs, FFP, T&M, cost reimbursable) and how they impact risk and margin.
  • Experience with federal contract systems such as SAM.gov, FedConnect, ESRS, and WAWF.
  • Ability to read an RFP and immediately see contracting implications for capture, proposal, and pricing teams.

Responsibilities

  • Pre-Award: support Growth and Capture with NDAs and Teaming Agreements using templates; review terms and flag risks before submission.
  • Pre-Award: review solicitation terms, assess security requirements, and align with pricing assumptions.
  • Post-Award: negotiate, execute, and modify prime contracts, task orders, and subcontracts across FAR/DFARS vehicles.
  • Post-Award: maintain audit-ready contract files and ensure compliance with FAR/DFARS and agency supplements.
  • Post-Award: monitor contract dates, milestones, and reporting; coordinate with outside vendors to scale the contracts function.
  • Post-Award: manage Unanet Contract Management module data and documentation.

Job Title: Contracts Specialist

Reports to: Finance Lead

Location: Herndon, VA / Hybrid or Remote

About the Role

VivSoft Technologies is scaling rapidly, and we are looking for a Contracts Specialist who sees contracts not just as a compliance function, but as a lever for growth. You will own the full contract lifecycle across our federal contracts, task orders, and subcontracts, while also being a trusted partner to our Growth, Capture, and Pricing teams during proposal development. This is a highly visible role in a company preparing for significant scale, and the person in this seat will directly shape how audit ready, deal ready, and growth ready our contracts function becomes over the next several years.

What You Will Do
Pre-Award (Presales and Capture Support)
  • Support the Growth and Capture teams by quickly executing NDAs and Teaming Agreements using our standard templates, distinguishing routine requests from those that need deeper review, so pursuits move fast without exposing VivSoft or our partners to unnecessary risk
  • Review solicitation terms and conditions during proposal development, flagging contractual risk and security requirements (including FCL/clearance requirements) before submission
  • Work closely with the Pricing team to ensure contract terms, subcontract flow downs, and risk allocation are properly reflected in pricing assumptions on complex bids
Post-Award (Contract Administration and Execution)
  • Administer the full post award contract lifecycle: negotiate, execute, and modify prime contracts, task orders, and subcontracts across FAR/DFARS based vehicles, FAR/DFARS-based vehicles (e.g., IDIQs, BPAs) and non-FAR instruments (e.g., OTAs)
  • Ensure contract compliance with FAR, DFARS, and agency specific supplements, and maintain clean, audit ready contract files in support of DCAA and other compliance reviews
  • Manage contract closeouts, options exercises, and modifications in a way that protects margin and reduces administrative risk
  • Maintain organized, defensible contract documentation that would hold up under any kind of audit
  • Coordinate with outside vendors to help establish and grow VivSoft's contracts function, developing documentation and standards of practice that support scalability.
  • Monitor and track key contract dates, deliverables, and reporting requirements and other contractual milestones proactively, so nothing slips and nothing surprises Delivery or Finance
  • Manage and maintain the Unanet Contract Management module, including contract, task order, funding, and subcontract information.
What We Are Looking For
  • 5+ years of federal contracts administration experience, including FAR/DFARS-governed contract vehicles (e.g., IDIQs, BPAs) as well as non-FAR instruments such as Other Transaction Agreements (OTAs).
  • Preferred certifications: CPCM, CFCM, CGCO, CPA, CGAP, PMP, CPSM, Lean Six Sigma.
  • Strong understanding of contract types, IDIQ, OTAs, FFP, T&M, cost reimbursable, and how contract structure affects risk and margin
  • Experience with federal contract systems such as SAM.gov, FedConnect,ESRS, and WAWF
  • Experience supporting or working closely with capture, proposal, and pricing teams, someone who can read an RFP and immediately see the contracting implications, not just administer what has already been signed
  • Comfort operating in a growing, fast-moving company where processes are still being built, not just maintained
  • Sharp attention to documentation and recordkeeping discipline, DCAA audit experience or exposure is a strong plus
  • Excellent communication skills, able to explain contract risk and terms clearly to non-contracts stakeholders across Delivery, Finance, and Growth
  • A genuine interest in growing with the company, this role has a clear path toward a more senior contracts leadership position as VivSoft scales
