Qualifications

• 5+ years of Contracts Admin/Manager or Contracts Paralegal experience.

• Experience with using and learning CLMs is a plus.

Overview

Lawyers on Demand, a Consilio Company, is currently seeking a contract temporary Contracts Paralegal to support one of our clients for a remote assignment. This is a part-time position working 10 - 15 hours per week and long-term, indefinite in length.

In this role, you will review, redline and negotiate commercial leases and contracts including MSA's, SOW's, software agreements, distribution, service agreements (main), vendor agreements, NDA's, and DPA's.

Responsibilities

• Draft and review contracts: Assist in drafting and reviewing contracts, such as vendor agreements and service contracts, under the guidance of senior staff or Corporate Counsel.


• Contract administration: Support the contract lifecycle from initiation to closeout, ensuring compliance with payment terms, service level agreements (SLA's), and other standard clauses.


• Regulatory compliance: Help ensure contracts align with transportation industry standards and data privacy regulations (e.g., GDPR, CCPA), with guidance from senior team members.


• Risk identification: Identify basic contractual risks (e.g., payment disputes or delivery delays) in simpler contracts and escalate complex issues to Corporate Counsel or General Counsel.


• Stakeholder support: Collaborate with internal teams, including legal, operations, and finance, to facilitate contract execution and resolve minor issues.


• Record keeping: Maintain accurate contract records.

Qualifications

• 5+ years of Contracts Admin/Manager or Contracts Paralegal experience.


• Must have in-house experience and feel comfortable interacting with customers and internal business stakeholders.


• Experience with using and learning CLMs is a plus, with IntelAgree being advantageous but not required.
