Job summary

Desert Financial Credit Union in Phoenix is seeking a Contracts Manager to oversee the full lifecycle of client, vendor and partner agreements, including drafting, redlining, evaluation, negotiation and compliance with policy.

You will own and optimize the Contract Lifecycle Management system (Ironclad), maintain a library of contract clauses and templates, and collaborate with procurement and business teams to identify and mitigate contractual risks.

Qualifications

• 4+ years of contract management experience.
• Bachelor's degree or equivalent.
• Experience with CLM software and negotiation.
• Knowledge of contract drafting and redlining.

Responsibilities

• Collaborate with business partners and attorneys to draft, edit, evaluate, negotiate, maintain, and ensure compliance of various contracts (client, vendor, technology, NDAs, partnerships).
• Own, manage, and administer contracting processes and CLM software; develop reports on contract activity.
• Build and maintain a library of contract clauses and pre-approved alternative clauses.
• Coordinate with Procurement, Vendor Management, and other stakeholders to prioritize work and assign complex items to attorneys.
• Negotiate and redline agreements within delegated authority and escalate material issues.
• Perform other job related duties as assigned.

Job description

The Contracts Manager is responsible for managing the lifecycle and administration of all types of agreements and contracts including drafting, redlining, evaluation, negotiation, compliance, and execution in accordance with organizational policies and procedures. The Contracts Manager owns, manages and leads the implementation of the company’s Contract Lifecycle Management system (Ironclad), helps develop and maintain a library of contract clauses, and collaborates closely with business partners to identify, explain, manage and elevate contractual risks and support contract negotiations.

What you will do here:

• Collaborate with business partners and attorneys to facilitate the drafting, editing, evaluation, negotiation, maintenance, and compliance of various types of contracts, including but not limited to: client, vendor, technology, NDAs, and partnership agreements. Ensure the business understands the terms and risks of agreements.
• Own, manage, and administer contracting processes and technology. Participate in the implementation and maturation of Contract Lifecycle Management (CLM) software (Ironclad). Utilize CLM software to implement changes and manage contract workflows efficiently and effectively. Support the continuous improvement of contract processes and templates. Develop and deliver reports related to contract activity.
• Help establish and maintain a comprehensive library of contract clauses and pre-approved alternative clauses for commonly negotiated terms.
• Serve as the liaison between Procurement, Vendor Management, and other internal stakeholders supporting the prioritization of work across the multiple lines of business. Triage contract requests and assignments to the appropriate attorney based on complexity and risk.
• Negotiate and redline agreements within delegated authority. Identify and mitigate contractual risk, follow company guidelines and elevate material or nonstandard legal issues to the appropriate attorney.
• Perform other job related duties as assigned.

What you will need:

• Bachelor's degree in related field; or equivalent combination of education and experience.
• 4+ years of contract management experience required
• 2+ years of experience working in the financial or fintech industry required
• Experience managing CLM software and Microsoft Office Suite.
• Experience Using Ironclad CLM Preferred.
• Experience with designing and managing efficient contract processes.
• Excellent communication and negotiation skills, written and verbal.
• Strong relationship building and interpersonal skills with the ability to collaborate effectively across all levels of staff and leadership.
• Exceptional organizational skills, high attention to detail, motivated, self-starter.
• Strong analytical and problem-solving abilities.
