Job summary

Penumbra seeks a Contracts Counsel to draft, review, and negotiate a broad set of commercial agreements while partnering with Sales, Regulatory, IT, Operations, and Finance. You will guide privacy/compliance and contribute to continuous improvement of templates and playbooks.

On-site in Alameda, CA with travel as needed. The role reports to the legal team and requires a JD with 3+ years of experience, California bar status or eligibility, and strong communication skills in a fast-paced

Qualifications

  • JD degree required with 3+ years of relevant legal experience
  • Bar membership, California preferred or eligibility for in-house status
  • Experience in life sciences, medical devices, or regulated industry is desirable
  • Strong oral and written communication skills and attention to detail

Responsibilities

  • Draft, review, and negotiate a range of commercial agreements including NDAs, SaaS, data processing and vendor agreements
  • Provide pragmatic, business-focused advice to management and department stakeholders
  • Advise on contracting compliance with applicable laws, healthcare, and life sciences
  • Address data privacy and security issues US and internationally
  • Develop and improve contract templates and playbooks
  • Lead, train, and develop staff; manage performance and objectives

Job description

General Summary

As part of Penumbra's legal team, the Contracts Counsel will support a growing and dynamic company that develops ground-breaking technology to further its mission of saving patients' lives. You will also work closely with other seasoned attorneys, paralegals, and support staff as part of this closely-knit team while partnering with external departments essential to the Company's operations.

Specific Duties and Responsibilities
  • Draft, review, and negotiate a range of commercial agreements, including NDAs, SaaS and managed services, software licenses, data processing agreements, consulting agreements, and other types of vendor agreements. *
  • Provide pragmatic, business-oriented advice to Company management and key department stakeholders, including close coordination with Sales and Marketing, Regulatory, IT, Operations, Quality and Finance. *
  • Advise and support Company management on contracting and compliance with all applicable laws, including those related to operation in healthcare and the life sciences.*
  • Address issues related to data privacy and security, both in the US and internationally.
  • Help to shape the continuous improvement of contract templates and playbooks.
  • Select, manage, train, and develop staff. Establish objectives and assignments and provide ongoing feedback through performance reviews and development plans. *
  • Adhere to the Company's Quality Management System (QMS) as well as domestic and global quality system regulations, standards, and procedures. *
  • Understand relevant security, privacy, and compliance principles and adhere to the regulations, standards, and procedures that are applicable to the Company. *
  • Ensure other members of the department follow the QMS, regulations, standards, and procedures. *
  • Perform other work-related duties as assigned.

Position Qualifications

Minimum education and experience:

  • Bachelor's degree and J.D. required with 3+ years of relevant legal experience, or an equivalent combination of education and experience

Additional qualifications:

  • Previous experience in the life sciences industry is strongly preferred
  • Bar membership, California preferred or at least one other state's bar and the ability to obtain registered in-house counsel status.
  • Medical device, pharmaceutical, biotech, or other regulated industry experience desired
  • Strong oral, written, and interpersonal communication skills
  • High degree of accuracy and attention to detail
  • Proficiency with MS Word, Excel, and PowerPoint
  • Excellent organizational skills with ability to prioritize assignments while handling various projects simultaneously
Working Conditions
  • General office environment
  • Willingness and ability to work on site. May have business travel from 5-10%.
  • Potential exposure to blood-borne pathogens
  • Must be able to move between buildings and floors.
  • Must be able to remain stationary and use a computer or other standard office equipment, such as a printer or copy machine, for an extensive period of time each day.
  • Must be able to read, prepare emails, and produce documents and spreadsheets.
  • Must be able to move within the office and access file cabinets or supplies, as needed.
  • Must be able to communicate and exchange accurate information with employees at all levels on a daily basis.

Location: Alameda, CA

Salary: $175,000 to $255,000
