Key Duties And Responsibilities

  • Review, draft, and negotiate various contracts, including service agreements, vendor contracts, and non-disclosure agreements.
  • Provide legal advice on contractual obligations and risk management.
  • Ensure contracts are in compliance with legal standards, company policies, and regulatory requirements.
  • Identify and mitigate legal risks in contracts, advising stakeholders on potential legal issues and strategies to minimize liability.
  • Work closely with business units to understand their needs, provide legal advice, and support contract negotiations.
  • Stay up to date on relevant legal developments, regulations, and best practices related to contract law.
  • Advise internal teams on contract terms, rights, obligations, and potential disputes or breaches.
  • Conduct legal research and stay current on relevant laws and regulations.
  • Collaborate with cross-functional teams to ensure compliance with contractual terms and internal policies.
  • Assist in the development and implementation of contract management processes and templates.
  • Identify potential legal issues and propose solutions to mitigate risks.
  • Support in resolving disputes related to contracts and provide guidance during negotiations.
  • Maintain comprehensive records of contract agreements and related documentation.
  • Performs other duties and special projects, as required.

Minimum Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to practice before a state bar.
  • 8+ years of experience in contract law, preferably in a corporate legal environment.
  • Strong understanding of contract drafting, negotiations, and compliance.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and manage multiple priorities in a fast-paced environment.
  • Strong analytical and problem-solving skills.
  • Proficiency with Microsoft Office tools and applications.

Preferred Qualifications

  • Knowledge ERISA, employee benefits and/or Taft-Hartley plans.
  • Experience in the healthcare industry and/or working for a third-party administrator.

Working Conditions/Physical Effort

  • Prolonged periods of sitting at a desk and working on a computer.

  • The ability to have flexible working arrangements, including remote work options, depending on the needs of the business.
  • Occasional travel depends on business requirements.
