Required JD with California bar admission. Excellent writing and communication skills are essential to advising on complex compensation issues and supporting corporate transactions.

Responsibilities

• Advise on equity and executive compensation matters.
• Prepare and review proxy disclosures.
• Draft and negotiate employment and severance agreements.
• Provide guidance on IRC Sections 280G and 409A.
• Support mergers, acquisitions and IPOs.
