**Job Description Summary**Cedar is seeking an experienced Commercial & Development Paralegal who will be a key member of Cedar Investment Group’s Legal team, providing high-level transactional, commercial, corporate, and development support across Cedar’s growing portfolio of data center and digital infrastructure projects. Working closely with the Head of Legal, other members of the Legal team, and Cedar’s business teams, this position supports complex development and corporate transactions from initial due diligence through execution, closing, and post-closing requirements. The Commercial & Development Paralegal will have significant responsibility for transaction coordination, due diligence, entity and governance matters, closing processes, legal documentation, contract administration, and legal department organization. The role requires strong judgment, exceptional attention to detail, and the ability to independently manage multiple legal workstreams while identifying issues requiring attorney review or escalation.**Job Description****Commercial****Development & Contract Support*** Support Legal and business teams on commercial, development, construction, procurement, and other assigned commercial matters.* Assist with the intake, review, preparation, and coordination of leases, construction agreements, development agreements, consulting agreements, vendor agreements, and other commercial contracts.* Prepare and review confidentiality agreements, broker agreements, letters of intent, estoppel certificates, SNDAs, and ancillary real estate and commercial documents.* Coordinate contract documentation, execution, amendments, exhibits, certificates, and other supporting materials.* Assist with maintaining standard agreements, templates, forms, and contracting resources.* Coordinate with Development, Construction, Procurement, Finance, and other teams to obtain information and documentation required by Legal. **Real Estate & Due Diligence*** Support due diligence for development and real estate transactions, including title, survey, zoning, entitlement, environmental, and other property-related matters.* Review and organize title commitments, surveys, environmental reports, zoning materials, and other due diligence documentation.* Coordinate due diligence materials and maintain visibility into open items, deadlines, and required approvals.* Assist attorneys and business teams in identifying outstanding diligence items and coordinating resolution with internal and external stakeholders.* Maintain organized and complete diligence records for development projects and transactions. **Transaction & Closing Support*** Support legal workstreams associated with acquisitions, dispositions, development transactions, financings, joint ventures, and other strategic transactions.* Coordinate transaction processes from due diligence through closing, including maintaining closing checklists, tracking deliverables, coordinating signatures, and monitoring outstanding requirements.* Prepare, review, organize, and coordinate execution of closing documents and ancillary transaction documentation.* Coordinate with attorneys, internal business teams, outside counsel, lenders, investors, counterparties, and other stakeholders to advance transactions toward closing.* Maintain organized transaction records and ensure final executed documents and closing materials are appropriately captured and maintained.* Monitor post-closing deliverables and continuing transaction requirements. **Finance & Investment Transaction Support*** Support the Legal team on debt financings, equity investments, joint ventures, acquisitions, dispositions, and other corporate transactions.* Assist with legal due diligence, document collection, data rooms, transaction checklists, signature processes, and closing coordination.* Track requirements and deliverables arising from loan documents, joint venture agreements, purchase agreements, and other transaction documents.* Coordinate organizational documents, certificates, resolutions, authorizations, and other materials required for financing and investment transactions.* Maintain visibility into key transaction deadlines and post-closing obligations. **Corporate Governance & Entity Management*** Manage day-to-day administration for Cedar subsidiaries, project entities, joint ventures and special purpose vehicles, including formation, maintenance, governance, restructuring, and dissolution of activities under attorney supervision as appropriate.* Prepare routine organizational documents, written consents, resolutions, certificates, incumbency documents, and other corporate governance materials for attorney review as appropriate.* Maintain corporate records and organizational documentation for Cedar’s legal entities.* Coordinate state registrations, annual reports, registered-agent requirements, and other entity compliance matters.* Maintain organizational charts and entity information and coordinate updates with Legal, Finance, Accounting, and other stakeholders.* Support entity-related requirements associated with acquisitions, financings, joint ventures, and project development. **Legal Operations & Department Support*** Take primary responsibility for maintaining Legal's matter, contract, entity, and transaction records, databases and document repositories.* Develop and maintain department-wide closing checklists, transaction trackers, legal calendars, and other tools used to manage department priorities.* Support implementation and administration of legal technology, document-management systems, templates, playbooks, and standardized workflows.* Coordinate document execution and signature processes and maintain organized repositories of final legal documents.* Assist with outside counsel engagement administration, invoice coordination, matter tracking, and legal spend reporting.* Perform legal and factual research and prepare summaries to support attorney review and decision-making.* Support the Legal team on general corporate, compliance, and other matters as needed.* Identify opportunities to improve Legal department processes, organization, consistency, and efficiency.* Maintain strict confidentiality regarding legal, financial, transaction, employee, and other sensitive company information. **Required Experience*** 5+ years of relevant paralegal experience supporting sophisticated real estate, corporate, finance, development, or other transactional legal matters.* Bachelor’s degree and/or paralegal certificate from an accredited institution.* Demonstrated experience supporting complex transactions, including transaction coordination, due diligence, document preparation, and closings.* Experience with commercial contracts, real estate transactions, corporate entities, or financing-related matters.* Experience preparing and maintaining corporate governance and entity documentation.* Strong ability to independently organize and manage multiple transactions, deadlines, and workstreams simultaneously.* Exceptional attention to detail and commitment to accuracy and completeness.* Strong written and verbal communication skills and ability to work effectively with attorneys, executives, internal business teams, and external parties.* Strong judgment regarding confidential and sensitive legal and business information.* Proficiency with Microsoft Office and document-management and collaboration tools. **Preferred Qualifications*** Experience supporting a real estate developer, infrastructure company, data center developer, investment platform, or similar organization.* Experience supporting development projects from due diligence through closing and construction.* Experience with joint ventures, project-level entities, SPVs, debt financing, or equity transactions.* Experience with title, survey, zoning, environmental, and other real estate due diligence.* Experience supporting construction, procurement, and commercial contracting.* Experience with legal matter management, contract-management, entity-management, or document-management platforms.* Prior experience working within an in-house legal department.* Data center or digital infrastructure experience is preferred but not required. **Core Competencies****Transactional Execution:** Effectively coordinates complex
