Position Details

Role Overview

We are looking for an experienced Commercial Counsel to join our legal team in Florham Park, NJ. This role involves serving as legal counsel for our U.S. Business Units and Functions, supporting transactions involving sales, procurement, and manufacturing. The position reports to Associate General Counsels in Florham Park and supports colleagues in Houston, Texas; Wyandotte, Michigan; and Beachwood, Ohio.

Key Responsibilities
  1. Providing pragmatic, strategic legal and compliance advice to business management and operational personnel.
  2. Drafting, reviewing, and negotiating agreements such as sales, supply, manufacturing, distribution, and service agreements.
  3. Leading negotiations and structuring transactions, including drafting or reviewing related documents.
  4. Interpreting contractual rights and obligations, resolving disputes, and managing relationships with outside counsel.
  5. Serving as legal counsel on M&A transactions and other strategic projects.
  6. Engaging with cross-functional teams to address issues related to intellectual property, tax, litigation, regulatory compliance, risk management, finance, and EH&S.
Qualifications
  • J.D. from an accredited U.S. law school; license to practice law in the U.S.
  • At least 7 years of experience in commercial transactions, with a team-oriented, collaborative style; experience with sales, procurement, or manufacturing; knowledge of US antitrust laws preferred.
  • Strong negotiation and communication skills, with the ability to explain complex legal issues clearly.
  • Business judgment and ability to influence and interact effectively at all organizational levels.
  • Ability to adapt, work independently, and make sound decisions within risk tolerances.
