Overview

Join a growing technology organization building innovative, open-source solutions that help developers create more reliable applications and deliver software faster. As a Commercial Counsel, you will play a key role in supporting commercial operations and enabling business growth through practical, strategic legal guidance. You will manage a diverse portfolio of customer, vendor, procurement, and partnership agreements while collaborating closely with Sales and go-to-market teams. Reporting to the Director of Commercial Legal, you will help strengthen the legal function by developing scalable contract frameworks, templates, and processes. This role offers the opportunity to influence business decisions, balance legal risk with commercial objectives, and build trusted relationships across teams. You will thrive in a collaborative, fast-paced environment that values curiosity, ownership, flexibility, and innovative thinking.

Accountabilities
  • Draft, review, and negotiate a broad range of commercial agreements, including Master Services Agreements (MSAs), Data Processing Agreements (DPAs), Non-Disclosure Agreements (NDAs), vendor contracts, and procurement agreements.
  • Partner with Sales and go-to-market teams to provide clear, commercially minded legal advice that supports business objectives and accelerates deal execution.
  • Support the negotiation and management of strategic partnership agreements, reseller and channel relationships, marketplace arrangements, and other commercial collaborations.
  • Develop, maintain, and continuously improve contract templates, negotiation playbooks, guidelines, and processes to support efficient and consistent contracting.
  • Identify, assess, and elevate legal and contractual risks while helping stakeholders find practical solutions that preserve business momentum.
  • Contribute to building and scaling the commercial legal infrastructure to support current operations and future organizational growth.
  • Collaborate cross-functionally with internal stakeholders, acting as a trusted legal partner and helping navigate complex commercial challenges in an evolving technology environment.
Requirements
  • Juris Doctor (J.D.) degree from an accredited law school and an active license to practice law in the United States.
  • At least 5 years of legal experience, including a minimum of 4 years in an in-house legal role at a high-growth B2B Software-as-a-Service (SaaS) company.
  • Demonstrated experience drafting, reviewing, and negotiating technology, vendor, procurement, and commercial agreements.
  • Strong understanding of common commercial contracting structures, including SaaS subscriptions, professional services agreements, data processing terms, and service-level agreements (SLAs).
  • Experience using contract lifecycle management systems, ideally Ironclad, as well as AI-powered contract review and management tools.
  • Excellent communication, negotiation, and stakeholder management skills, with the ability to translate complex legal issues into clear, actionable business guidance.
  • A collaborative, solutions-oriented mindset and the ability to balance risk management with commercial priorities in a fast-paced environment.
  • Adaptability and willingness to take on varied responsibilities, contribute across multiple legal matters, and help build processes within a lean legal team.
  • Privacy law or data protection experience is considered an advantage.
Benefits
  • Competitive compensation: Annual compensation ranges vary by geographic market:
    • Tier 1: $184,000–$235,000, plus equity.
    • Tier 2: $165,600–$210,000, plus equity.
    • Tier 3: $147,200–$188,000, plus equity.
  • Equity opportunities: Participate in the company's growth through an equity offering.
  • Remote flexibility: Work remotely from within the United States.
  • Full-time opportunity: Join a growing technology organization and contribute to the development of its commercial legal function.
  • Professional impact: Work closely with senior legal leadership and cross-functional teams, with opportunities to influence contracting strategy, improve processes, and support business growth.
