Responsibilities

• Own the lifecycle of customer and partner agreements from review through execution.
• Draft, review, and negotiate a wide range of commercial agreements including SaaS, licenses, NDAs.
• Partner with Sales and cross-functional stakeholders to move deals forward while balancing risk and business goals.
• Maintain and improve contract templates, playbooks, and contracting processes.
• Advise on security, privacy, and compliance provisions, including data processing agreements.
• Coordinate with outside counsel and support other day-to-day legal matters.

Our client is seeking a Commercial Counsel to join its growing legal team in Chicago. This is an excellent opportunity for a pragmatic, business-minded attorney who enjoys partnering closely with Sales and cross-functional stakeholders while taking ownership of the commercial contracting process from negotiation through execution in a fast-paced technology environment.

What You'll Do

• Own the lifecycle of customer and partner agreements from review through execution.
• Draft, review, and negotiate a wide range of commercial agreements, including SaaS agreements, software licenses, customer contracts, partner agreements, and NDAs.
• Partner closely with Sales and other business stakeholders to help move deals forward while balancing legal risk and business objectives.
• Maintain and improve contract templates, playbooks, and contracting processes to support efficient deal execution.
• Advise on security, privacy, and compliance-related contractual provisions, including data processing agreements.
• Support employment-related documentation, internal policies, litigation support, and other day-to-day legal matters.
• Coordinate with outside counsel and collaborate with cross-functional teams on a variety of legal and operational initiatives.

What You'll Bring

• JD from an accredited law school and active membership in at least one U.S. state bar.
• 3–5 years of experience negotiating commercial agreements, preferably in a SaaS or technology company.
• Strong experience with SaaS agreements, software licensing, NDAs, and customer-facing commercial contracts.
• Experience partnering directly with Sales and other cross-functional stakeholders.
• Ability to balance legal risk with practical business solutions in a fast-paced environment.
• Familiarity with employment-related legal matters and security, privacy, or data processing agreements is a plus.
