Overview

Legal.io is seeking an experienced Commercial Contracts Specialist to support the commercial team of a publicly traded, integrated energy company on a long‑term contract engagement.

This role will focus on supporting the development, negotiation, execution, and administration of complex commercial agreements across the energy and carbon capture sectors. The successful candidate will work closely with commercial leadership, internal legal teams, and outside counsel to translate business terms into actionable contract documentation, manage negotiations, and ensure agreements progress efficiently from initial term sheet through execution.

The ideal candidate brings substantial experience supporting midstream energy transactions, strong commercial contract management skills, and the ability to navigate complex agreements in a rapidly evolving industry.

This is a commercial contracts support role, not a practicing attorney position. A JD or bar admission is not required.

Key Responsibilities
  • Support the preparation, review, negotiation, and execution of complex commercial agreements involving energy infrastructure, midstream operations, and carbon capture projects
  • Translate commercial terms from term sheets, deal notes, and negotiation discussions into clear term summaries, issues lists, and drafting instructions
  • Prepare commercial position summaries, correspondence, and supporting documentation for internal and outside counsel
  • Review contract drafts and redlines, perform document comparisons, and identify deviations from agreed commercial terms
  • Support agreements involving CO2 transportation and storage, injection services, pore space, surface use, rights‑of‑way, and other midstream‑related commercial arrangements
  • Assist with vendor agreements, master service agreements, and other commercial contracts as needed
  • Coordinate with commercial stakeholders, internal attorneys, and outside counsel to resolve open issues and advance negotiations
  • Maintain comprehensive contract trackers documenting agreement status, outstanding issues, responsible parties, and next steps
  • Prepare regular contract status updates and reports for commercial leadership
  • Coordinate contract execution, including signature routing, distribution of executed agreements, and maintenance of contract records
  • Develop and maintain obligations and key‑date tracking systems covering milestones, conditions precedent, notice requirements, renewals, and termination dates
  • Ensure consistency of commercial positions, defined terms, and contractual obligations across related agreements
  • Support transaction due diligence and related commercial documentation as needed
  • Improve contracting processes through standardized templates, document management tools, AI‑assisted review, and workflow automation
Qualifications
  • Bachelor’s degree or equivalent professional experience
  • 5+ years of relevant experience in commercial contract administration, contract management, commercial paralegal work, or transactional legal support, including at least 3 years supporting the midstream or energy sector
  • Direct experience supporting midstream or energy commercial agreements, including gas gathering, processing, transportation, or storage agreements
  • Demonstrated experience managing commercial agreements from term sheet development through negotiation and execution
  • Strong understanding of commercial terms commonly found in midstream agreements, including fees, minimum volume commitments, dedications, take‑or‑pay provisions, conditions precedent, and credit support
  • Ability to translate complex business and commercial terms into precise written summaries, issues lists, and drafting instructions
  • Experience reviewing contract redlines, comparing multiple drafts, and identifying deviations from negotiated commercial positions
  • Strong experience maintaining contract trackers, obligations logs, and contract management databases
  • Advanced proficiency with Microsoft Word, Excel, Adobe Acrobat Pro, DocuSign, and document comparison tools such as Litera Compare
  • Experience leveraging AI‑enabled tools and automation to improve contract review, document management, and reporting workflows
  • Excellent written and verbal communication skills
  • Ability to manage multiple complex agreements simultaneously while coordinating with commercial teams, attorneys, and external counterparties
Preferred Experience
  • Experience supporting carbon capture, utilization, and storage (CCUS) projects
  • Familiarity with CO2 transportation, storage, and injection services agreements
  • Experience with pore space, surface use, easement, and right‑of‑way agreements
  • Prior experience supporting publicly traded energy companies, midstream operators, or energy infrastructure developers
  • Familiarity with contract lifecycle management (CLM) platforms and SharePoint‑based contract tracking systems
  • Experience supporting mergers, acquisitions, or other energy‑related transactions
  • JD, paralegal certificate, or contract management certification
  • Microsoft Word and Excel, including advanced document formatting, tracking, and reporting
  • Adobe Acrobat Pro and Litera Compare for document review and comparison
  • DocuSign and electronic signature management platforms
  • Contract lifecycle management (CLM) systems and contract databases
  • SharePoint and other document management platforms
  • AI‑assisted document review, contract analysis, and workflow automation tools
Key Attributes
  • Strong commercial judgment and understanding of complex energy transactions
  • Exceptional attention to detail, particularly when reviewing contractual terms and negotiated positions
  • Highly organized and capable of managing multiple agreements and deadlines simultaneously
  • Proactive and comfortable coordinating directly with commercial leadership, internal counsel, and outside attorneys
  • Strong communicator who can translate complex commercial concepts into clear, actionable documentation
  • Adaptable and resourceful in an emerging industry with evolving commercial structures and regulatory requirements
  • Comfortable working independently while maintaining close collaboration with cross‑functional stakeholders
  • Technology‑forward and interested in improving contracting efficiency through AI and automation
Why This Role
  • Opportunity to support a publicly traded energy company with a growing portfolio of commercial agreements
  • Work on sophisticated midstream energy transactions and emerging carbon capture and storage projects
  • Collaborate directly with commercial leadership, internal legal teams, and outside counsel
  • Gain exposure to evolving commercial structures within the energy transition and CCUS sectors
  • Long‑term contract opportunity with competitive hourly compensation and remote flexibility
  • Opportunity to help improve commercial contracting processes, systems, and operational efficiency
