Qualifications

• Two+ years of corporate or business law experience.
• Strong background in commercial contracting and general corporate counseling.
• Exposure to finance transactions, private equity portfolio company work, or corporate reorganizations.
• Experience working directly with clients and managing multiple matters independently.
• Excellent drafting, negotiation, and analytical skills.
• Ability to provide practical, business-focused advice.
• Collaborative mindset and ability to work in a team-oriented environment.

Responsibilities

• Draft, review, and negotiate commercial agreements between vendors, customers, services, licensing, and confidentiality.
• Counsel clients on contract strategy and business operations.
• Support financing and internal restructuring transactions.
• Collaborate with attorneys across practice groups, including tax, labor and employment, and real estate.
