Job description

We are seeking a skilled and experienced Commercial and Products Counsel to join our legal team. The ideal candidate will have over 5 years of experience as an in-house commercial counsel, with a strong background in healthcare SaaS technology and a proven track record of providing strategic legal advice to support business objectives.

Principal duties and responsibilities:

  1. Provide global legal support on a wide range of commercial transactions, including drafting, reviewing, and negotiating contracts with customers.
  2. Draft and maintain template agreements; identify gaps and recommend and develop legal and cross functional contract processes and improvements.
  3. Review, implement, communicate, enforce, and manage legal contract processes.
  4. Collaborate with cross-functional teams to support product development and ensure compliance with applicable laws and regulations.
  5. Provide clear, reasoned risk analysis and opportunities related to contracts and new and existing products and services for leadership.
  6. Manage the commercial go-to-market process, ensuring alignment with legal and regulatory requirements.
  7. Manage and develop the company's intellectual property portfolio, including patents, trademarks, and copyrights.
  8. Manage and enforce the commercial legal contracting process to ensure efficiency and compliance.
  9. Develop and implement legal strategies to support business growth and innovation.
  10. Ensure compliance with healthcare regulations, data privacy laws, and industry standards.
  11. Manage and resolve legal disputes and claims in collaboration with external counsel when necessary.
  12. Stay current on relevant legal developments and industry trends to proactively address potential legal issues.
  13. Provide training and support to internal teams on legal and compliance matters.

Required Qualifications:

  1. Juris Doctor (JD) degree from an accredited law school.
  2. Minimum of 5 years of experience as an in-house commercial counsel, preferably in the healthcare SaaS technology industry.
  3. Strong understanding of contract law, commercial transactions, and regulatory compliance.
  4. Experience overseeing go-to-market processes and managing intellectual property portfolios.
  5. Experience managing and enforcing commercial legal contracting processes.
  6. Excellent negotiation, drafting, and communication skills.
  7. Ability to work independently and collaboratively in a fast-paced environment.
  8. Strong analytical and problem-solving skills with a business-oriented approach.

Preferred Qualifications:

  1. Experience implementing large-scale software programs, e.g., a contract lifecycle management program.
  2. Experience with AI in legal department operations context.
  3. Experience with healthcare regulations and data privacy laws is a plus.

The compensation range is $122,000 - $145,000. The base salary range represents the anticipated low and high end of GHX’s salary range for this position. Actual salaries will vary and will be based on various factors, such as candidate’s qualifications, skills, competencies, and proficiency for the role. The base salary is one component of GHX’s total compensation package for employees. Other rewards and benefits include health, vision, and dental insurance, accident and life insurance, 401k matching, paid-time off, and education reimbursement, to name a few.
