Job summary
Our client, a prominent global AmLaw 50 law firm, is seeking a skilled CMBS Associate Attorney to join their Global Finance group. The role involves counseling on CMBS transactions, drafting and negotiating securitization documents, and leading deal structuring with issuers, underwriters, and investors.
Ideal candidates have 3–6 years of securitization experience, strong bar admission, and a track record in large law firm settings.
Qualifications
- JD from a top-tier law school with strong academic record.
- Active Bar Admission in relevant jurisdiction, in good standing.
- 3–6 years of substantive experience in securitization and structured finance, CMBS.
- Experience drafting and negotiating complex securitization documents.
- Familiarity with CRE repurchase facilities and warehouse lending.
Responsibilities
- Provide counsel on CMBS transactions, including CRE CLOs, for issuers, underwriters, and investors.
- Lead the preparation and negotiation of transaction documents, including bid letters and agreements.
- Participate in deal structuring, due diligence, execution, and post-closing matters.
- Ensure compliance with applicable regulatory and industry standards.
- Collaborate with Global Finance team to deliver premier client service.
