Job Overview

We are seeking a skilled legal professional to join our team, specializing in U.S. energy transactions, finance, and corporate governance. The ideal candidate will have a strong background in complex deal structures and be comfortable managing multiple projects while fostering strong relationships with both internal teams and external counsel.

Key Responsibilities
  • Prepare, analyze, and provide feedback on a wide range of contracts including loan documents, loan participation agreements, security agreements, PPAs, EPCs, Offtake Agreements, Interconnection Agreements, Purchase Agreements, intercreditor and subordination agreements, confidentiality agreements, and other related documents.
  • Oversee general corporate governance matters, such as maintaining up-to-date corporate records, organizing board meetings, and developing internal compliance policies.
  • Advise on board decisions and create supporting materials to promote robust corporate governance and ethical practices.
  • Assist with ensuring adherence to government contract requirements, internal compliance mandates, and procurement processes.
  • Draft and update internal legal forms and policies to support business operations.
  • Supervise and coordinate with external legal teams to ensure efficient and effective legal support.
Required Qualifications
  • Juris Doctor (JD) from an accredited law school.
  • Active membership in one or more state bar associations.
  • Minimum of 5 years’ relevant legal experience with a strong foundation in U.S. energy transactions (preferably within smaller scale clean energy projects focused on distributed power, building decarbonization, and electric transportation) as well as general finance and banking.
  • Significant background in law firm environments.
  • Exceptional attention to detail, organization, and commitment to follow-through.
  • A proactive self-starter with robust project management abilities, capable of independently managing transactions and initiatives from inception to completion while juggling multiple priorities.
  • Strong communication and interpersonal skills, with a collaborative mindset suitable for a semi-remote, team-oriented work setting.
  • Ability to travel domestically on occasion.
