The Tech Recruiters is seeking a forward-thinking Senior Corporate Counsel to shape the regulatory and structural foundation for a digital securities platform in New York. You will work directly with founders, product leads, and engineers to architect compliant financial architecture from ground up.

Ideal candidates will have deep experience with equity securities, broker-dealer rules, and capital markets regulation, plus a passion for tokenization and distributed ledgers.

Qualifications

• Extensive background advising on equity securities and broker-dealer rules.
• Deep regulatory knowledge of Securities Act and Exchange Act.
• Strong interest in digital assets, tokenization, and modern market structure.

Responsibilities

• Architect legal, regulatory, and technical structures for products and platforms.
• Direct securities strategy across transfer agents, broker-dealer frameworks, and asset management.
• Guide engagement with SEC, FINRA, and other regulators.
• Embed compliance into software features through close collaboration with engineering and product teams.
• Oversee governance, contracts, employment affairs, and internal risk operations.
• Manage external counsel efficiently while keeping guidance practical.
