Job summary

Texas Dow Employees Credit Union (TDECU) in Houston seeks a Corporate Secretary and Chief Governance Counsel to lead governance, board liaison, and records management. The role anchors the Board's continuity and coordinates meeting logistics, education, and compliance across the organization.

You will oversee minutes, charters, bylaws, and governance disclosures while coordinating with the CEO, CLO/GC, and executive management to ensure sound governance practice and regulatory alignment.

Qualifications

• J.D. from ABA-accredited law school and active license to practice law in Texas (or eligibility for reciprocity/in-house counsel registration).
• 10+ years of experience in corporate governance, board operations, or corporate secretary functions, ideally within a financial institution or credit union.
• Direct experience preparing board/committee materials, drafting board minutes, and managing corporate records in a regulated environment.
• Expert knowledge of credit union or bank governance requirements (NCUA/State equivalents).
• Strong discretion and judgment; trusted point of contact for Board, CEO and C-suite.

Responsibilities

• Own governance and board-liaison operations, including meeting administration and records.
• Prepare and file governance documents, maintain records, and administer authority documentation.
• Serve as primary board-contact for logistics and information requests between meetings.
• Administer governance policies, disclosures, conflict-of-interest processes, and training.
• Provide governance research and advisory support to Board Chair and CLO/GC.
