Job summary

Child Mind Institute in New York City seeks a Chief Legal Officer to lead the legal function and counsel executive leadership and the Board on governance, regulatory compliance, risk, real estate, technology strategy, intellectual property and policy positions.

You will oversee contract review and negotiations, manage outside counsel, and collaborate on growth initiatives and domestic/international expansion, while ensuring data privacy and technology risk management in a fast-moving nonprofit

Qualifications

• Juris Doctor degree and bar admission; licensed to practice law in New York.
• 8 years of legal experience at a law firm and/or in-house counsel.
• Executive leadership: trusted advisor to senior leadership and Board.
• Strong governance, regulatory, and compliance expertise in nonprofit settings.

Responsibilities

• Counsel executive leadership and the Board on governance, major transactions, regulatory compliance, fundraising, risk management, real estate, technology strategy, IP and policy positions.
• Oversee corporate governance matters including board meetings, conflicts of interest, minutes, and policies.
• Lead growth initiatives and expansion strategies, including new business lines and funding sources.
• Act as chief compliance and risk officer addressing exempt organizations, employment, IP, data security, privacy and related regulations.
• Manage contract review and approvals; draft agreements and organizational policies.
• Oversee insurance programs and corporate registrations; manage IP portfolio and licensing.
• Advise on technology systems, software licensing, data governance and cyber risk; support HR on employment matters.
• Manage outside counsel and pro bono relationships; perform other duties as assigned.
