Qualifications

  • 15+ years of progressive finance leadership experience.
  • Prior CFO experience in private equity-backed, founder-owned, or transaction-oriented organizations.
  • Demonstrated success leading at least one significant acquisition, recapitalization, or company sale process; multiple transactions preferred.
  • Deep understanding of M&A transactions, due diligence, purchase accounting, valuations, and QoE reviews.
  • Experience with investment bankers, lenders, PE sponsors, and legal advisors.

  • Evaluate complex transactions and provide strategic recommendations to ownership and the board.

Job Details:

We are seeking an experienced Chief Financial Officer (CFO) with a proven track record of leading organizations through acquisitions, recapitalizations, and successful company sale processes. This is not a traditional operating CFO role. The ideal candidate is an "Exit CFO" who thrives in high-pressure environments and has successfully navigated multiple transaction events where financials are subjected to extensive due diligence and scrutiny by private equity firms, lenders, auditors, bankers, and prospective buyers.

This executive will partner closely with ownership, investors, and advisors to maximize enterprise value, prepare the organization for a liquidity event, and lead all financial aspects of the transaction process from preparation through close.

Key Responsibilities
  • Lead the company through a planned sale, recapitalization, acquisition, or other liquidity event.
  • Develop and execute strategies to maximize shareholder value and transaction readiness.
  • Ensure financial statements, reporting processes, and internal controls can withstand rigorous buyer due diligence.
  • Direct the preparation and management of quality of earnings (QoE) analyses, financial audits, forecasts, and transaction support materials.
  • Serve as the primary financial liaison with investment bankers, private equity sponsors, lenders, legal counsel, auditors, and potential buyers.
  • Oversee data room preparation and coordinate responses to extensive due diligence requests.
  • Identify and mitigate transaction-related financial, operational, and compliance risks.
  • Lead acquisition integration activities and post-transaction financial planning when applicable.
  • Evaluate complex transactions and provide strategic recommendations to ownership and the board.
  • Drive financial performance, cash flow optimization, and value-creation initiatives in advance of a transaction.
  • Build financial infrastructure, reporting capabilities, and KPIs that support investor-grade decision making.
Qualifications
  • Bachelor's degree in Accounting, Finance, or related field; CPA strongly preferred.
  • 15+ years of progressive finance leadership experience.
  • Prior CFO experience within private equity-backed, founder-owned, or transaction-oriented organizations.
  • Demonstrated success leading at least one significant acquisition, recapitalization, or company sale process; multiple transactions strongly preferred.
  • Deep understanding of M&A transactions, due diligence, purchase accounting, valuations, and quality of earnings reviews.
  • Experience working directly with investment bankers, lenders, private equity sponsors, and legal advisors.
  • Strong technical accounting, financial reporting, and compliance expertise.
  • Proven ability to perform under pressure during high-stakes and time-sensitive transactions.
