Tender Opportunity: Carbon Transaction Consultant
PURPOSE
From time-to-time, EDF seeks external contractors and vendors to perform work on special projects as subcontractors and service providers. These opportunities are separate from our career postings and have specific requirements and deadlines for applicants to meet. All of the details, deliverables and deadlines are included in each posting.
EDF is seeking to enter into a services agreement with a consultant to provide specialized advisory services to Environmental Defense Fund (EDF) in support of the Oromia Forested Landscape Program (OFLP) project in Ethiopia. These services are designed to enable EDF to support Ethiopia effectively in evaluating carbon credit transactions and optimizing negotiation outcomes with potential buyers.
BACKGROUND
Ethiopia’s Oromia Forested Landscape Program (OFLP) is a key part of the country’s plan to tackle deforestation and reduce greenhouse gas emissions by 14% by 2030. Covering 32 million hectares, including 9 million hectares of forests, this World Bank-supported program is on track to produce high-quality emissions reduction (ER) credits. By mid-2025, the program is expected to verify its initial tranche of carbon credits, which will become available for sale for the first time to buyers outside of the World Bank. This creates a significant opportunity for Ethiopia to generate carbon finance to scale and accelerate financing for forest conservation, improved land management practices, and sustainable development for program beneficiaries.
To capitalize on this opportunity, the government of Ethiopia has requested transaction advisory and legal support from Environmental Defense Fund (EDF) to establish a go-to-market strategy for these credits, engage buyers, negotiate fair contracts, and execute deals.
CONTRACT OVERVIEW
Carbon Transaction Consultant (‘Contractor’) shall conduct comprehensive reviews of all offers related to the OFLP project, analyzing key terms, conditions, pricing structures, and legal implications. This review process shall include identifying potential risks, highlighting favorable terms, and suggesting modifications to strengthen Ethiopia's position in transactions.
Contractor shall provide strategic advice on negotiation options and tactics to EDF and, when appropriate, to Ethiopia's transaction team. This advice shall include market insights, pricing benchmarks, transaction structuring recommendations, and guidance on industry best practices for forest carbon credit transactions. Contractor shall help develop negotiation strategies tailored to different buyer profiles and market conditions
Contractor shall assist in preparing EDF and Ethiopia's transaction team for buyer discussions by co-developing presentation materials, negotiation scripts, and mock negotiations. This preparation shall include briefings on buyer priorities, potential objections, and effective counterarguments.
