Job summary

Talent Solutions Partners is seeking an Associate Attorney for its Capital Markets Practice Group. The role involves advising issuers, underwriters, and investors on equity and debt capital markets, including IPOs, follow-on offerings, and Rule 144A transactions, with emphasis on corporate governance and SEC reporting.

Ideal candidates have a JD from a top law school, active bar admission, and 2–3 years of securities experience, preferably in a large firm, with strong drafting and collaboration

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active bar admission in the applicable jurisdiction, in good standing.
• 2-3 years of substantive securities practice experience.
• Experience representing issuers, underwriters, and financial institutions.

Responsibilities

• Advise issuers, underwriters, and investors on equity capital markets transactions including IPOs and offerings.
• Represent clients in debt capital markets and convertible securities transactions.
• Counsel public companies on SEC reporting, disclosure, and governance obligations.
• Collaborate with cross-functional teams on complex domestic and cross-border transactions.
