Job summary

This AmLaw 50 firm seeks an Associate Attorney to join its Capital Markets Practice Group in Washington, DC / New York, NY. You will advise issuers, underwriters, investors, and public companies on a broad range of securities transactions, governance issues, and cross-border offerings.

Qualified candidates have a JD from a top-tier law school, strong academics, 2–3 years of securities/GA experience, and large-firm background. Excellent drafting and collaboration skills are essential.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in the applicable jurisdiction, in good standing, or eligible to waive in.
• 2–3 years of substantive Securities Act 1933/1934 compliance and corporate governance experience.
• Experience representing issuers, underwriters, agents, and financial institutions in offerings.
• Experience advising public companies on SEC reporting and disclosure requirements.
• Familiarity with IPOs, follow-on offerings, private placements, Rule 144A offerings, and related debt/equity transactions.
• Interest in sophisticated, high-profile transactions across industries and growth stages.
• Strong analytical, drafting, organizational, and communication skills.
• Demonstrated ability to thrive in a collaborative, team-oriented environment.
• Large law firm experience preferred.

Responsibilities

• Advise issuers, underwriters, and investors on equity capital markets transactions including IPOs and offerings.
• Represent clients in debt capital markets transactions and convertible securities.
• Counsel public companies regarding SEC reporting, disclosure, and governance obligations.
• Advise boards on shareholder engagement, governance best practices, and listing requirements.
• Assist international issuers, underwriters, and investors with U.S. capital markets access.
• Represent public and private REITs and real estate companies in formation and capital-raising transactions.
• Collaborate with attorneys across corporate, finance, tax, and regulatory practices on cross-border deals.
