United Future, a leading AmLaw 50 international law firm, seeks a Capital Markets Associate to join its sophisticated Capital Markets Practice Group in Washington, D.C./New York, advising issuers, underwriters, investors, and public companies.

You will work on a broad range of securities transactions, including IPOs, follow-on offerings, private placements, Rule 144A offerings, and cross‑border offerings, across diverse industries.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Bar Admission in the applicable jurisdiction.
• 2-3 years of experience in Securities Act and governance matters.
• Experience representing issuers, underwriters, and financial institutions in offerings.
• Experience advising public companies on SEC reporting and governance.
• Familiarity with IPOs, follow-on offerings, private placements, and convertible securities.
• Interest in sophisticated, high-profile transactions across industries.
• Strong analytical, drafting, organizational, and communication skills.
• Ability to thrive in a collaborative, team-oriented environment.
• Large law firm experience preferred.

Responsibilities

• Advise issuers, underwriters, and investors on equity capital markets transactions.
• Represent clients in debt capital markets transactions.
• Counsel public companies regarding SEC reporting and compliance obligations.
• Advise boards of directors on shareholder engagement and governance.
• Assist international issuers, underwriters, and investors with U.S. capital markets access.
• Represent public and private REITs and real estate companies in capital-raising transactions.
• Collaborate with attorneys across corporate, finance, tax, and regulatory practices.
