Job summary

AmLaw 50 international firm in Washington, D.C. and New York seeks an Associate Attorney to join its Capital Markets Practice Group, advising issuers, underwriters, investors, and public companies on a broad range of transactions.

JD from a top-tier law school, active bar, 2–3 years of Securities Act/1933 and Exchange Act/1934 experience, and strong drafting and collaboration skills are required. Large-firm experience preferred.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Bar Admission in the applicable jurisdiction, in good standing.
• 2–3 years of substantive securities capital markets experience.
• Experience representing issuers, underwriters, and financial institutions in public and private offerings.
• Familiarity with SEC reporting, disclosure, and governance matters.

Responsibilities

• Advise issuers, underwriters, and investors on equity capital markets transactions including IPOs and follow-on offerings.
• Represent clients in debt capital markets transactions including investment-grade and high-yield issuances.
• Counsel public companies on SEC reporting and governance obligations.
• Assist international issuers and cross-border offerings.
• Collaborate with corporate, finance, tax, and regulatory teams on complex transactions.
