Qualifications

• 3+ years of experience at an AmLaw 200 firm
• Strong background in capital markets, securities, corporate, and transactional matters

• Strong academic credentials
• Admission in the applicable jurisdiction or ability to waive in
• Experience with securitizations, structured finance, or industry-focused practices is a plus

Responsibilities

• Advise on capital markets and corporate matters for public companies, financial institutions, and underwriters
• Draft and negotiate transactional documents and agreements
• Lead due diligence and disclosure processes
• Coordinate with cross-functional teams and clients on complex transactions

Several leading AmLaw firms are seeking mid-level associates to join their highly regarded Capital Markets, Securities, and Corporate practices across New York, Washington DC, and Miami.

These opportunities offer the chance to work on sophisticated domestic and cross-border transactions alongside nationally recognized practitioners, advising public companies, financial institutions, private equity sponsors, and underwriters on complex capital markets and corporate matters.

The work encompasses:

• Public and private debt offerings, including investment grade and high-yield transactions
• Registered and unregistered equity offerings
• SEC reporting, disclosure obligations, and public company governance matters
• Corporate finance transactions and strategic business initiatives
• Mergers & acquisitions transactions
• Liability management transactions
• Securities law compliance and ongoing public company counseling

Preferred qualifications:

• 3+ years of experience at an AmLaw 200 firm
• Strong background in capital markets, securities, corporate, and transactional matters
