Job summary

Qualifications

  • J.D. from an accredited law school.
  • 3–6 years of capital markets, securities, or closely related corporate experience at a law firm.
  • Experience with public or private securities offerings and federal securities laws.
  • Familiarity with SEC reporting and public-company disclosure requirements.
  • Strong drafting, analytical, transaction-management, and communication skills.
  • Experience advising public companies or working directly with issuers and underwriters is preferred.

Responsibilities

  • Represent issuers, underwriters, and investors in public and private securities offerings.
  • Handle IPOs, follow-on offerings, registered direct offerings, private placements, and other capital-raising transactions.
  • Draft and review registration statements, prospectuses, offering documents, securities filings, and transaction agreements.
  • Advise public companies on periodic SEC reporting, disclosure requirements, corporate governance, and securities-law compliance.
  • Coordinate transaction execution with clients, investment banks, auditors, opposing counsel, and other advisors.
  • Take increasing responsibility for managing transactions and developing direct relationships with clients.

ABOUT THE ROLE

A sophisticated New York corporate practice is seeking a mid-level capital markets associate to advise public companies, emerging growth businesses, investment banks, and investors on securities offerings and ongoing public-company matters. The role combines high-level transactional work with direct exposure to clients and senior attorneys, giving associates the opportunity to develop beyond isolated drafting assignments and become trusted securities counsel. You will work across public and private offerings, SEC reporting, corporate governance, and strategic transactions while taking increasing ownership of matters. Compensation ranges from $235,000-$420,000, depending on experience.

WHAT YOU'LL DO
  • Represent issuers, underwriters, and investors in public and private securities offerings
  • Handle IPOs, follow-on offerings, registered direct offerings, private placements, and other capital-raising transactions
