Qualifications

• Minimum 4 years of experience in public company and capital markets.
• Experience with public companies and their periodic reporting.
• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Experience with Nasdaq and New York Stock Exchange listing and governance requirements.
• Experience working with issuers, underwriters, and financial intermediaries.
• AmLaw 100 law firm experience preferred.

• Conduct thorough legal research and analysis to support transaction preparation and strategy.
• Draft well-reasoned legal documents, including memos, contracts, and correspondence.
• Assist in managing complex transactions from inception to resolution.
