Position Overview:

As our Business Transactional Attorney, you will be responsible for advising and supporting clients with a broad range of business and corporate matters. Your work will focus on forming legal entities, drafting and negotiating operating agreements, partnership agreements, asset purchase agreements, and providing sound legal structure for transactions and growth initiatives. This is not a litigation-focused role — it is centered on deal structuring, compliance, documentation, and proactive legal advisory.

This is a remote, independent contractor position that requires the ability to operate autonomously with minimal oversight. Candidates must be licensed and in good standing with the California State Bar.

In this position, you'll have the backing of a seasoned support team, but it's not a role where you can learn as you go. You need to be ready to hit the ground running, bringing prior expertise and the ability to handle tasks like formatting, filing, and beyond with little oversight from day one.

This position is remote and requires you to be licensed and in good standing to practice law in the State of California.

Key Responsibilities:

  • Counsel clients on entity selection, business formation, and restructuring
  • Draft, revise, and negotiate a variety of business contracts, including:
  • Operating Agreements
  • Shareholder Agreements
  • Partnership Agreements
  • Service Contracts
  • Vendor and Client Agreements
  • Asset Purchase Agreements
  • Conduct legal research and advise on regulatory compliance, licensing, and corporate governance as needed
  • Collaborate with the firm’s principal to align legal solutions with client goals
  • Maintain clear and professional client communication and provide timely updates

Education and Experience:

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to the California State Bar with a clean disciplinary record
  • Minimum of 3 years of experience in business and transactional law
  • Demonstrated experience in business formation, contract drafting, and transaction structuring
  • Familiarity with California corporate law and small to mid-sized business operations
  • Exceptional drafting, negotiation, and analytical skills
  • Self-starter with excellent time management and organizational ability
  • Proficiency with remote work tools and legal document automation platforms is a plus

Compensation:

$50-$100 hourly DOE
