Business Litigation Attorney
Position Overview
We are seeking a skilled Business Litigation Attorney to represent corporate and entrepreneurial clients in commercial disputes and provide transactional support.
This role combines courtroom advocacy with preventative counseling: managing complex litigation (including breach of contract and vendor disputes), drafting and negotiating agreements, and advising on entity formations, Secretary of State filings, and business sale transactions. The ideal candidate will protect client interests through strategic litigation, efficient case management, and pragmatic transactional work.
Key Responsibilities
- Advocate for clients in state and federal courts, arbitration, and mediation, including drafting pleadings, motions, and appellate filings.
- Manage all phases of litigation: case intake, discovery, depositions, motion practice, settlement negotiations, and trial preparation.
- Handle breach of contract claims, vendor contract disputes, and related commercial litigation matters.
- Draft, review, and negotiate a wide range of business agreements, including vendor contracts, licensing agreements, and business sale agreements.
- Provide transactional support including entity formations, drafting LLC operating agreements, and advising on corporate structure and compliance.
- Prepare and file Secretary of State documents and counsel clients on filings, annual reporting, and statutory compliance.
- Work proactively with clients to identify and mitigate legal risk, develop dispute-avoidance strategies, and implement contract best practices.
- Collaborate with cross-functional teams and supervise junior attorneys and paralegals to ensure timely, high-quality legal work and client service.
- Maintain clear client communication, manage budgets and billing, and meet firm and client deadlines.
- Stay current on developments in business law and litigation strategy to provide informed, practical advice.
Qualifications
- Juris Doctor (JD) from an accredited law school and active membership in good standing with the state bar.
- 3+ years of business litigation experience; experience with commercial disputes, breach of contract, and vendor disputes required.
- Proven experience with transactional matters: entity formations, drafting LLC operating agreements, business sale agreements, and Secretary of State filings.
- Strong drafting and negotiation skills for contracts, licensing agreements, and vendor contracts.
- Demonstrated courtroom experience, including motion practice, depositions, and trial or arbitration advocacy preferred.
- Familiarity with contract doctrines, breach of contract litigation, and remedies available in business disputes.
- Excellent legal research, writing, and oral advocacy skills, with the ability to communicate complex issues to clients succinctly.
- Ability to manage multiple matters, prioritize deadlines, and supervise junior staff while maintaining high attention to detail.
- Comfortable using e-filing systems, case management software, and standard office productivity tools.
- Transaction-oriented mindset with a litigation background; ability to provide practical, business-focused legal solutions.
