Qualifications

  • 3–5 years of executive administrative, board administration, governance support, or related experience.
  • Experience preparing, recording and distributing board packages and meeting materials.
  • Experience maintaining governance calendars, resolutions, and committee documentation.
  • Advanced proficiency with Microsoft Office (PowerPoint, Word, Excel, Outlook).

Responsibilities

  • Coordinate all Board and committee meetings, including scheduling and preparation.
  • Develop annual governance calendars and maintain schedules for meetings.
  • Draft meeting agendas with Chairs and Executive Leadership.
  • Prepare materials and ensure items are complete for meetings.
  • Distribute board packages and committee materials via Diligent Board Books.
  • Administer and optimize the board portal to improve governance processes.
  • Create, format and manage board presentations and reports.
  • Attend meetings and accurately record proceedings and minutes.
  • Track resolutions and approvals through completion.
  • Coordinate policy reviews among management, committees, and the Board.
  • Maintain governance documents, charters, policies and records.
  • Support regulatory examinations and governance information requests.
  • Coordinate annual renewal of corporate insurance programs (D&O).
  • Identify process improvements to enhance meeting efficiency and compliance.

Position Summary

CFG Bank is seeking a highly organized, technology-savvy Board Administrator to support the Board of Directors and Board Committees. This role serves as the central coordinator for all board and committee activities, ensuring meeting materials, governance records, resolutions, policies, and communications are managed accurately and efficiently.

The ideal candidate combines exceptional administrative and organizational skills with experience supporting boards, executive leadership, or governance functions. They will play a key role in enhancing the Bank's use of Diligent Board Books and related governance technology, helping streamline meeting preparation, approvals, minutes, and board communications.

Essential Duties And Responsibilities
  • Coordinate all Board of Directors and committee meetings, including scheduling, logistics, and preparation activities.
  • Develop annual governance calendars and maintain schedules for board and committee meetings.
  • Draft meeting agendas in collaboration with Board and Committee Chairs, and Executive Leadership.
  • Prepare Board and Committee Chairs for upcoming meetings by ensuring agenda items, materials, and presentations are complete and organized.
  • Collect, review, and distribute board packages and committee materials through the Diligent Board Books platform.
  • Administer and optimize the Bank's board portal, leveraging technology to enhance governance processes and the Director experience.
  • Create, format, and manage board presentations, reports, and meeting materials.
  • Attend all Board and Committee meetings and accurately record meeting proceedings.
  • Prepare, distribute, and maintain official Board and Committee minutes and governance records.
  • Track board resolutions, action items, and approvals through completion.
  • Coordinate policy review and approval processes among management, committees, and the Board.
  • Maintain records of governance documents, committee charters, policies, and other official corporate records.
  • Support regulatory examinations, and significant support audit and governance-related information requests.
  • Coordinate the administration and annual renewal of corporate insurance programs, including Directors and Officers liability insurance, and maintain related governance documentation and records.
  • Identify and implement process enhancements that enhance meeting effectiveness, compliance, and operational efficiency.
  • Serve as a trusted administrative partner to directors, committee chairs, and senior leadership while maintaining the highest level of confidentiality and professionalism.
Qualifications And Requirements
  • 3-5 years of executive administrative, board administration, governance support, or related experience.
  • Experience preparing, recording and distributing board packages and meeting materials.
  • Banking, lending, or other financial services experience preferred but not required.
  • Demonstrated experience maintaining governance calendars, resolutions, and committee documentation.
  • Exceptional organizational skills and attention to detail.
  • Strong written communication and presentation development skills.
  • Advanced proficiency with Microsoft Office, including PowerPoint, Word, Excel, and Outlook.
  • Ability to manage confidential and highly sensitive information with discretion.
  • Experience administering Diligent Board Books or a comparable board portal platform is preferred.
WORK ENVIRONMENT

We offer a hybrid schedule, with 4 days in-office and 1 day remote after the initial 90-day period.

Compensation Disclosure

In accordance with Maryland's Equal Pay for Equal Work Act, we are committed to providing transparent wage information for all posted job opportunities. The salary range for this position is $85,000 to $95,000 per year. Compensation is determined based on factors such as Experience, Qualifications, and Internal equity.
