Job summary

DLA Piper in Austin seeks an associate with a primary focus on mergers and acquisitions, handling large, sophisticated transactions in a demanding environment. You will guide deal teams through inception to closing, manage due diligence, draft and negotiate essential documents, and provide strategic guidance on regulatory and commercial considerations. The role is in-office only, with direct cross-border experience advised.

Qualifications

• Requires a primary focus on mergers & acquisitions, with level-appropriate experience working on large, sophisticated transactions.
• Attorneys with strategic or private equity M&A experience are encouraged to apply.
• Candidates must have direct and applicable AmLaw 100 law firm experience.
• This is an in-office position based in Austin; remote candidates will not be considered.

Responsibilities

• Managing and supporting complex domestic and cross-border corporate, finance, real estate, tax, employment, and other transactional matters from inception through closing and post-closing activities.
• Conducting legal due diligence, drafting and negotiating contracts and transaction documents, structuring transactions, and providing strategic advice on legal, regulatory, business, and operational considerations.
• Assisting deal execution, participating in negotiations with various stakeholders, and coordinating transaction closings.
• Analyzing and advising on applicable regulatory requirements, governance matters, and compliance considerations affecting transactions.
