Job description

Attorney (Regulatory Legal), IBM Corporation, Armonk, NY (Up to 40% telecommuting permitted):

  • Support the pivotally important “Strategic Transaction Center of Excellence (CoE), helping to address privacy, security, AI (Artificial Intelligence) and data issues in strategic transactions, with a special focus on addressing and resolving complicated and challenging privacy issues in Procurement and M&A transactions.
  • Perform the following duties below in support of CoE work: Collaborate, guide and support the company’s US based Procurement organization and Privacy office on Procurement transactions; the Security office on Procurement, Sales and M&A transactions; and US based internal attorneys on M&A transactions.
  • Negotiate with suppliers, M&A targets, and clients to address privacy and other in-scope issues.
  • Analyze contractual relationships with suppliers.
  • Leverage global expertise in privacy, security, AI and data matters, with a particular focus on privacy issues in the Procurement context, such as GDPR (General Data Protection Regulation) compliance, compliance with GDPR derivative laws, data use and re-use, data breaches, and cross-context behavioral advertising.
  • Analyze new privacy laws and regulations, and as required by those laws and regulations, implement updates to contractual templates with suppliers and M&A targets, and remediate existing relationships with suppliers.
  • Monitor/stay abreast in laws that govern the types of damages that a company may claim against suppliers and other third parties for breach of privacy and security terms, including data breaches involving personal information.
  • Evaluate incidents involving company and third parties for lessons that can be applied in the company’s privacy and security practices.
  • Utilize: General Contract Law (including M&A), global data protection laws, including those within the European Union (and of non-European member states such as Switzerland and the UK), the United States, and other geographies (e.g., Canada, Asia Pacific, and Latin America), and data governance, and international data security standards.

Required: Master’s degree or equivalent in Law or related and three (3) years of experience as an Attorney or related. Three (3) years of experience must include utilizing General Contract Law (including M&A), global data protection laws, including those within the European Union (and of non-European member states such as Switzerland and the UK), the United States, and other geographies (e.g., Canada, Asia Pacific, and Latin America), and data governance, and international data security standards. $253441 to $300000per year.
