Job summary

We Are Legal Revolution is seeking a Corporate Attorney to join their team in a remote capacity. The successful candidate will handle the legal needs of startups, advising on corporate transactions and governance.

You will work with mergers and acquisitions, VC financing, and related agreements, while drafting and negotiating NDAs, service agreements, vendor contracts, and shareholder documents. This role offers strong growth and exposure to exciting startups.

Qualifications

• Provide legal counsel on corporate transactions, including mergers and acquisitions.
• Draft, review, and negotiate commercial agreements such as NDAs and shareholder agreements.
• Advise startups on governance, fundraising strategies, and operational legal matters.
• Assist with entity formation and due diligence.

Responsibilities

• Provide legal counsel on corporate transactions, including mergers, acquisitions, joint ventures, debt financing, venture capital transactions, and fund-related matters.
• Draft, review, and negotiate a wide range of commercial agreements, including NDAs, service agreements, vendor contracts, shareholder agreements, and partnership agreements.
• Conduct due diligence and assist with corporate documentation matters, including entity formation, corporate governance, transaction structuring, and the negotiation and execution of complex business transactions.
• Support startups and emerging growth companies, advising founders, investors, and management teams on corporate structuring, fundraising strategies, and operational legal matters.

Key Responsibilities:

• Provide legal counsel on corporate transactions, including mergers and acquisitions, joint ventures, debt financing, venture capital transactions, and fund-related matters.
• Draft, review, and negotiate a wide range of commercial agreements, including non-disclosure agreements (NDAs), service agreements, vendor contracts, shareholder agreements, and partnership agreements.
• Conduct due diligence and assist with corporate documentation matters, including entity formation, corporate governance, transaction structuring, and the negotiation and execution of complex business transactions.
• Support startup and emerging growth companies, advising founders, investors, and management teams on corporate structuring, fundraising strategies, and operational legal matters.
• Up to $250k base salary
• Origination bonus
