Qualifications

• Juris Doctor from an accredited law school.
• Active Michigan law license.
• Experience in mergers and acquisitions or corporate transactions.
• Strong drafting, research, analytical, communication and organizational skills.
• Excellent attention to detail and ability to manage multiple matters and deadlines.
• Prior experience with purchase agreements, due diligence, disclosure schedules, corporate documents, financing materials, or transaction closings preferred.

Responsibilities

• Draft and review letters of intent, purchase agreements, disclosure schedules, and closing documents.
• Conduct legal due diligence and identify transaction risks.
• Prepare and maintain transaction checklists, due diligence reports, issue lists, signature materials, and closing binders.
• Participate in client meetings, negotiations, and closings.
• Coordinate deadlines, document requests, signatures, closing requirements, and post-closing obligations.
• Communicate with clients, accountants, lenders, brokers, opposing counsel, and other participants.
• Assist with related governance, contracts, entity formation, financing, and succession-planning matters.

The position will focus heavily on mergers, acquisitions, business sales, ownership transitions, reorganizations, and other strategic transactions, with opportunities to assist clients with a broader range of corporate and business matters.

Key Responsibilities

• Draft and review letters of intent, purchase agreements, disclosure schedules, ancillary agreements, resolutions, consents, and closing documents.
• Conduct legal due diligence and assist with identifying transaction risks, required approvals, and outstanding issues.
• Prepare and maintain transaction checklists, due diligence reports, issue lists, signature materials, and closing binders.
• Participate in client meetings, negotiations, due diligence calls, transaction discussions, and closings.
• Coordinate deadlines, document requests, signatures, closing requirements, and post-closing obligations.
• Communicate with clients, accountants, lenders, brokers, opposing counsel, consultants, and other transaction participants.
• Assist with related corporate governance, commercial contract, entity formation, financing, and succession-planning matters.
