  • Drafting, reviewing, and negotiating credit agreements, loan documents, security agreements, guarantees, leases, purchase and sale agreements, and related transactional documents
  • Structuring and documenting sophisticated secured and commercial financing arrangements
  • Advising clients regarding collateral, lien priority, perfection, UCC issues, negotiable instruments, letters of credit, and other commercial law matters
  • Managing transactions from initial structuring through closing and post‑closing
  • Participating in client‑development and relationship‑building activities alongside senior lawyers

Asset Finance & Commercial Finance Associate

New York | Hybrid

A highly respected law firm is seeking a Finance Associate to join its sophisticated Banking & Finance practice. This is a particularly compelling opportunity for an attorney with experience in asset finance, secured lending, asset-based lending, commercial finance, or related transactional work who wants more than a traditional associate role.

Working closely with one of the most highly regarded and decorated partners in the banking and finance space, the successful candidate will have the opportunity to take meaningful ownership of sophisticated matters, work directly with clients, and develop the skills necessary to build a long-term practice.

This is a long-term succession and client-development opportunity. Rather than waiting years for client exposure, the associate will have access to client relationships and business-development opportunities from day one, with the potential to grow alongside an established practice and ultimately assume significant responsibility for the work and relationships developed by the group.

The Opportunity

The associate will work directly with an experienced finance partner on a broad range of transactions and matters representing banks, financial institutions, lenders, borrowers, businesses, and other sophisticated clients.

Practice & Responsibilities

The associate will represent a broad array of clients across sophisticated finance and commercial transactions, including:

  • Secured lending transactions
  • Asset‑based lending (ABL)
  • Commercial finance and working‑capital facilities
  • Asset finance and equipment‑related transactions
  • Debt restructurings and workouts
  • Sales and lease transactions
  • Negotiable instruments
  • Letters of credit
  • Documents of title
  • UCC and secured‑transactions matters
  • Loan documentation, collateral, and security arrangements
  • Other complex banking and commercial finance matters

Responsibilities will include:

  • Drafting, reviewing, and negotiating credit agreements, loan documents, security agreements, guarantees, leases, purchase and sale agreements, and related transactional documents
  • Structuring and documenting sophisticated secured and commercial financing arrangements
  • Advising clients regarding collateral, lien priority, perfection, UCC issues, negotiable instruments, letters of credit, and other commercial law matters
  • Conducting due diligence and analyzing transaction structures and collateral
  • Managing transactions from initial structuring through closing and post‑closing
  • Assisting clients with debt restructurings, workouts, and related strategic matters
  • Communicating directly with clients, lenders, borrowers, counterparties, and other professionals
  • Taking increasing responsibility for matters with the support and mentorship of senior attorneys
  • Participating in client‑development and relationship‑building activities alongside senior lawyers
  • Developing the skills and relationships necessary to establish a long‑term career within the practice
