Larson Maddox is seeking an Associate Operations Counsel in Fort Lauderdale to partner with business leaders on commercial contracts, corporate transactions, and day-to-day operational legal matters.

The ideal candidate has a J.D., active U.S. bar membership, 3+ years in law firms or in-house teams, and strong drafting, negotiation, and risk management skills to balance legal risk with commercial objectives.

Qualifications

• J.D. from an accredited law school.
• Active bar membership in good standing in at least one U.S. jurisdiction.
• Minimum of 3 years of legal experience in law firm or in-house.
• Experience drafting, reviewing, and negotiating commercial contracts and vendor agreements.
• Exposure to corporate transactions including M&A, investments, financing, or other strategic corporate matters.
• Strong understanding of corporate law, contract law, and risk management.
• Excellent written and verbal communication with the ability to advise diverse stakeholders.
• Highly organized with the ability to manage multiple priorities in a dynamic environment.
• Strong commercial judgment and pragmatic, solutions-oriented approach.

Responsibilities

• Draft, review, negotiate, and manage a wide variety of commercial agreements, including vendor contracts and service agreements.
• Provide legal support on corporate transactions, including acquisitions, divestitures, strategic investments, financing transactions, and due diligence.
• Partner with business, finance, operations, procurement, and executives to identify legal risks and develop practical solutions.
• Assist with corporate governance matters, entity management, board records, and housekeeping.
• Support vendor management, procurement processes, and third-party risk assessments.
• Develop, maintain, and improve contract templates, negotiation playbooks, and internal processes.
• Coordinate with outside counsel on specialized matters as needed.
• Provide day-to-day legal guidance on operational issues and compliance.
• Assist with dispute resolution and claims management.
• Monitor regulatory developments and provide actionable recommendations.
