Position Summary:
We have an exciting opportunity to join our team as an Associate General Counsel - Physician/Faculty Contracting.

Under the direction of the Vice President for Ambulatory Network/Associate General Counsel, the responsibility of this role is to assist the Vice President for Ambulatory Network/Associate General Counsel in providing competent, timely legal advice, assistance and service to coordinate and oversee legal activities as they relate to NYU Langone Health physician/faculty employment contracting and integration initiatives. In addition, this individual shall assist in ensuring such activities remain in compliance with applicable regulations and institutional policies related to these.

Job Responsibilities:

1. Draft, review and negotiate agreements/contracts with respect to physician employment, professional services agreements, physician practice acquisition and affiliation, and clinical network development, assuring consistency with business terms, NYU Langone Health policies and regulatory requirements.
2. Provide legal review of physician and research faculty employment agreements to assure consistency with business terms and objects as well as regulatory compliance and NYU Langone Health policies; advise leadership and designated Faculty Group Practice (FGP), clinical affairs and department administrators of issues, draft appropriate amendments and negotiate with physicians' legal counsel.
3. Participate in negotiations with designated FGP and other clinical affairs administrators with respect to physician and faculty recruitment (employment and independent contractors), physician agreements and practice acquisitions.
4. Provide education and training to FGP and other administrators and contracting staff in relevant legal and contracting areas.
5. Perform the principal legal research and document preparation in connection with NYU Langone Health physician integration initiatives and related contractual matters, including reviewing compensation arrangements for fair market value and preparing supporting legal memoranda, as necessary.
6. Draft various template physician and faculty employment agreements and develop appropriate legal contract clauses, including any updates, as needed. Review and assess if the templates can be improved, combined or streamlined.
7. Oversee and direct FGP Contract Specialist(s)/Analyst(s) and paralegals with respect to physician contracting and recruitment process management to ensure compliance with NYU Langone Health policies, processes and requirements and that all aspects of physician arrangements are appropriately reviewed and approved.
8. Serve as FGP Legal team lead on the development and implementation of institutional contract management system and database.
9. Work on multiple assignments simultaneously and meet deadlines on a self-motivated basis.
10. Work collaboratively with a wide variety of business personnel.

Minimum Qualifications:
To qualify you must have admission to the New York Bar with at least five (5) years of experience in healthcare law at a law firm or in-house. Experience drafting, negotiating and advising on healthcare agreements, including employed and contracted physician arrangements and/or agreements relating to the management and operation of physician group practices. Expertise in regulatory and transactional healthcare matters. Thorough knowledge of New York State and federal healthcare laws, including Stark and Anti-Kickback laws as applied to provider contracting. Effective written and oral communication skills, strong research and legal interpretation abilities and an exceptional client service orientation.

Individual must be detail-oriented and organized. They must have the ability to work on multiple assignments simultaneously and meet deadlines on a self-motivated basis. Must possess the ability to work collaboratively with a wide variety of business personnel. Individual must possess well-developed communication skills, strong research and legal interpretation abilities and a strong client service orientation.

NYU Langone Health provides a salary range to comply with the New York state Law on Salary Transparency in Job Advertisements. The salary range for the role is $215,477.55 - $250,000.00 Annually. Actual salaries depend on a variety of factors, including experience, specialty, education, and hospital need. The salary range or contractual rate listed does not include bonuses/incentive, differential pay or other forms of compensation or benefits.
