Job summary

Neuberger Berman is seeking an Investment Management Attorney to advise on a broad range of legal, regulatory, and corporate matters for its institutional asset management business. The role focuses on private funds, investment advisory services, and product structuring for US and international vehicles.

The candidate will work closely with senior management, navigate complex regulatory requirements, and collaborate with Compliance and outside counsel in a hybrid New York setting.

Qualifications

  • 8-10 years of legal experience, including 5+ years in fund formation.
  • In-depth knowledge of the Investment Advisers Act of 1940 and related regulatory frameworks.
  • Experience with structuring, forming and advising private funds and investment vehicles.
  • Strong multitasking abilities and the capacity to meet deadlines.
  • Ability to communicate effectively with senior management and investment professionals.

Responsibilities

  • Structure, form, advise and provide ongoing support for private funds, including open-ended, closed-end and funds-of-one.
  • Advise on investment advisory services to institutional clients and negotiate advisory agreements.
  • Assist with structuring, development and distribution of US and cross-border products and vehicles.
  • Negotiate with service providers and counterparties; review RFPs and institutional materials.
  • Advise on securities and loan trading issues; collaborate with Legal & Compliance and outside counsel.
  • Coordinate with global control functions to ensure regulatory compliance.

The position will primarily support a U.S. registered investment adviser/commodities trading adviser with a broad range of strategies (equity, fixed income, multi-asset solutions) and products. The position is located in Neubergerâs New York City offices. Responsibilities: Structuring, forming, advising and providing ongoing support with respect to all aspects of private funds, including open-ended funds, closed-end funds and funds-of-one Advising on the provision of investment advisory services to institutional separate account clients, including negotiating investment advisory agreements Advising with respect to the structuring, development and distribution of products and investment vehicles in the U.S. and outside the U.S. Negotiating agreements with service providers and counterparties Reviewing requests for proposals (âRFPsâ), client questionnaires and institutional marketing materials Advising on public and private securities and loan trading issues Working closely with the Legal and Compliance Department globally as well as other control functions Supervising and working effectively with outside counsel Qualifications: At least 8-10 yearsâ experience, including 5+ years within the fund formation group of a large law firm Extensive knowledge of the Investment Advisers Act of 1940 and applicability of other regulatory frameworks to private funds, including the Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934 and Commodity Exchange Act (and associated CFTC/NFA issues) Familiarity with ERISA is preferred Strong organizational skills and ability to multi-task Ability to communicate effectively with senior management and investment professionals Efficient and resourceful, able to work independently, handle multiple and changing priorities, and meet deadlines LI-MB1 LI-Hybrid Applicants must be authorized and have the right to work in the country where the role is located without the need for current or future sponsorship. Compensation Details The salary range for this role is $225,000-$275,000. This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting. We may ultimately pay more or less than the posted range, and the range may be modified in the future. This range is only applicable for jobs to be performed in the job posting location. An employeeâs pay position within the salary range will be based on several factors including, but limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, business sector, performance, shift, travel requirements, sales or revenue-based metrics, market benchmarking data, any collective bargaining agreements, and business or organizational needs. This job is also eligible for a discretionary bonus, which, along with base salary and retirement contributions, is part of our total comprehensive package.
