Job summary

Agility Robotics is seeking an Associate General Counsel, Corporate to guide governance, securities compliance, and strategic transactions for a fast-growing tech company. You will support the transition toward public-company standards while advising on corporate transactions and day-to-day operations.

The role requires strong corporate and securities law expertise, with in-house tech company or IPO readiness experience highly desirable.

Qualifications

  • J.D. from an accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction.
  • 8–12+ years of relevant legal experience.
  • Corporate and securities law experience at a top law firm preferred.
  • In-house tech company experience preferred.
  • Experience supporting public companies or IPO readiness desirable.

Responsibilities

  • Support Board and committee governance, including preparation of Board materials and resolutions.
  • Oversee corporate records and entity management across domestic and international subsidiaries.
  • Advise on public company governance practices and fiduciary responsibilities.
  • Prepare and review public company filings (10-K, 10-Q, 8-K) and relate securities disclosures.
  • Support strategic transactions, including acquisitions and partnerships, and due diligence.
  • Provide legal guidance on commercial agreements and manage vendor relations.
  • Assist with enterprise risk management and internal investigations.

About the Role

The Associate General Counsel, Corporate will play a key role in managing the company's corporate legal matters, governance framework, and strategic initiatives. Reporting to the General Counsel, this individual will support the company's transition to public-company standards while providing legal guidance on corporate transactions, securities compliance, and day-to-day business operations.

The ideal candidate combines strong corporate and securities law expertise with the ability to operate pragmatically in a fast-paced, high-growth environment.

About the Work
Corporate Governance
  • Support Board of Directors and committee governance, including preparation of Board materials and resolutions
  • Maintain corporate records and oversee entity management across domestic and international subsidiaries
  • Assist with implementation of public company governance practices and policies
  • Advise leadership on corporate governance matters and fiduciary responsibilities
Securities & Public Company Compliance
  • Support development of disclosure controls and procedures
  • Assist with preparation and review of public company filings, including Forms 10-K, 10-Q, and 8-K
  • Coordinate with external counsel on securities law compliance and regulatory matters
  • Monitor developments in securities regulations and advise internal stakeholders accordingly
Strategic Transactions
  • Support corporate development initiatives, including acquisitions, investments, and strategic partnerships
  • Assist in negotiation and documentation of transaction agreements
  • Coordinate due diligence processes and post-transaction integration from a legal perspective
Commercial & Operational Support
  • Provide legal guidance on a range of commercial agreements, including customer, partner, and vendor contracts
  • Partner with internal teams to identify and manage legal risk across the business including with respect to employment related matters.
  • Develop and improve contract templates, policies, and internal processes
Compliance & Risk Management
  • Support development of internal compliance policies and training programs
  • Partner with cross-functional teams to ensure adherence to regulatory requirements
  • Assist with enterprise risk management initiatives and internal investigations when necessary
External Counsel Management
  • Coordinate with outside counsel on corporate, securities, and transactional matters
  • Manage legal budgets and ensure efficient use of external advisors
About You
  • Juris Doctor (J.D.) from an accredited law school
  • Licensed to practice law in at least one U.S. jurisdiction
  • 8–12+ years of relevant legal experience
  • Corporate and securities law experience at a top law firm strongly preferred
  • In-house experience at a technology company preferred
  • Experience supporting public companies or IPO readiness highly desirable
  • Strong understanding of corporate governance, securities regulations, and commercial transactions

Location

This is a fully remote role with the option to work hybrid if a commutable distance from our Salem, OR, Pittsburgh, PA, or Fremont, CA offices.

Salary and Compensation

The final salary offered to a successful candidate will be dependent on several factors that may include but are not limited to: market location, job-related knowledge, skills, and experience. This range may change based on geographical location and may be modified in the future.

Anticipated Base Salary Range: $223,000—$290,000 USD
