Job summary

Rockwood Search seeks an experienced Senior Associate General Counsel to drive the legal strategy for a growing CLO business in-house. You will partner with portfolio managers, deal teams, and executive leadership to oversee the CLO lifecycle—from warehousing and new issuance to resets and compliance.

The role requires 4–8 years of CLO/structured finance experience, a J.D. degree, and active state bar admission.

Qualifications

• 4–8 years of CLO/structured finance experience (top-tier law firm or in-house asset manager preferred).
• Deep understanding of leveraged loan markets and CLO structural mechanics.
• J.D. degree and active admission to the state bar.
• Strong commercial mindset with ability to deliver practical, business-focused legal solutions.

Responsibilities

• Lead new issue CLOs, resets, refinancings, and warehouse financing arrangements.
• Negotiate and draft core documents (indentures, collateral mgmt agreements, credit facilities).
• Provide real-time strategic advisory to portfolio managers on trading restrictions and compliance.
• Navigate evolving risk-retention rules and global structured finance regulations.

In this pivotal in-house role, you will partner directly with our portfolio managers, deal teams, and executive leadership to oversee our CLO lifecycle—from warehousing and new issuance to resets and compliance.

• Lead Transactions: Direct new issue CLOs, resets, refinancing's, and warehouse financing arrangements.
• Negotiate & Draft: Oversee core documentation, including indentures, collateral management agreements, and credit facilities.
• Strategic Advisory: Provide real-time guidance to portfolio managers on trading restrictions and compliance constraints.
• Regulatory Compliance: Navigate evolving risk-retention rules and global structured finance regulations.

What We Are Looking For
