Job summary

Carter Machinery in Richmond, VA is seeking an Associate General Counsel to lead contract drafting, review, and negotiation across vendor agreements, NDAs, and supplier contracts. You will partner with business units to ensure legal guidance aligns with company objectives.

The ideal candidate holds a JD from a top law school with at least three years of practice, capable of managing a high volume of contracts and navigating regulatory issues.

Qualifications

  • Juris Doctorate from an accredited law school.
  • Minimum of three years of law firm or mixed law firm/in-house experience drafting and negotiating contracts.
  • Experience handling a high volume of contracts.
  • Licensed to practice law in Virginia or eligible for Virginia Corporate Counsel Certificate.
  • Strong verbal and written communication, negotiation, and presentation skills.

Responsibilities

  • Draft, review and negotiate a variety of commercial contracts including NDAs, master supplier and vendor agreements, sales and purchase orders, and professional services agreements.
  • Assist in contract review and administration of corporate relationships.
  • Undertake special projects and provide legal guidance to cross-functional initiatives.
  • Develop and implement compliance programs and conduct audits to ensure adherence to laws and standards.
  • Collaborate with teams to align legal strategy with business objectives.

$115,000 - $140,000 per year

What You’ll Do
  • Commercial Contract Drafting and Negotiation:
    • Draft, review and negotiate a variety of commercial contracts, including non-disclosure agreements, master supplier and vendor agreements, sales and purchase orders, professional services agreements and a wide array of other vendor agreements
    • Contribute to negotiation of agreements with vendors and suppliers
    • Collaborate with business units to understand objectives and provide guidance on legal implications
    • Stay informed about industry‑specific regulations and legal developments
  • Contract Review and Administration: Assist General Counsel in review and administration of corporate contracts and relationships
  • Special Projects: Undertake special projects on an as‑needed basis, contributing legal expertise to cross‑functional initiatives
  • Compliance Management:
    • Develop and implement comprehensive compliance programs
    • Conduct regular audits to ensure adherence to relevant laws, regulations, and industry standards
    • Provide guidance on compliance matters to internal stakeholders
    • Contribute to the development and updating of company policies
    • Ensure policies are legally sound, aligned with business goals, and communicated effectively
  • Work in coordination with team to achieve Continuous Improvement goals and objectives
  • Perform other duties as assigned
What We’re Looking For
  • Juris Doctorate degree from a top‑ranked accredited law school
  • Minimum of three years of law firm or a combination of law firm and in‑house hands‑on experience drafting and negotiating contracts
  • Experience effectively handling a high volume of contracts
  • Licensed to practice law in Virginia or eligible to be admitted under a Virginia Corporate Counsel Certificate
  • Excellent knowledge of commercial contracts and the ability to creatively solve problems while applying sound business and legal judgment to a wide variety of commercial contracts and relationships
  • Strong problem‑solving skills to address complex contracts and vendor agreements
  • Excellent verbal and written communication, negotiation, and presentation skills with the ability to effectively interact with legal and non‑legal team members
  • Strong legal research and analytical skills
  • Detail‑oriented with strong organizational skills
  • Aptitude to quickly learn and develop new skills
  • Excellent interpersonal and negotiation skills
