Job summary

Xavier University in Cincinnati is seeking an experienced Associate General Counsel (AGC) to advise on various legal matters including contracts, governance, and regulatory compliance. The AGC will support the General Counsel and represent the University in legal proceedings.

Associate General Counsel (AGC)

Responsibilities
  • Advise University Leaders and other campus colleagues on a wide variety of matters, including but not limited to contracts and transactional work, construction, real estate, student matters, donor agreements, intellectual property, civil rights, academic matters, employment law, and regulatory compliance.
  • Provide expert‑level support to the General Counsel in their support of the President and the Board of Trustees, including advising on governance matters, strategic planning, enterprise risk management, and board compliance.
  • Review, consult on, and draft, as necessary, University policies, procedures, and constituent handbooks.
  • Draft, review, and negotiate a wide variety of legal agreements and contracts, including affiliation agreements, employment contracts, contracts for the purchase of goods and services, real estate transactions, construction projects, technology agreements, athletics, and other legal documents supporting university operations.
  • Represent the University in responses to investigations or inquiries from regulatory agencies such as OCR.
  • Support or oversee litigation, working directly with outside counsel on complex cases, and representing the university in administrative or judicial forums.
  • Serve on and lead University committees as assigned or approved by the General Counsel.
  • Maintain professional growth and development through seminars, professional affiliations and other means to remain informed of developments in legal matters affecting the University’s activities and operations.
Qualifications
  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in the State of Ohio, or the ability to obtain licensure in Ohio within 12 months of hire.
  • More than 5 years of progressive legal experience, with responsibility advising complex organizations, including experience relevant to higher education.
