We’re looking for a candidate with strong academic credentials, excellent written and verbal communication skills, and a genuine enthusiasm for sophisticated executive compensation and governance work. The ideal candidate will have experience and interest in a broad range of executive compensation and governance matters, or strong mergers and acquisitions experience with an interest in executive compensation. Preferred skills include:

• Strong presentation skills, including the ability to confidently communicate with senior executives and board members
• Designing and drafting short- and long-term incentive plans, including profits interest programs, stock option plans, restricted stock and unit plans, and phantom equity programs
• Drafting executive employment, severance, and change-in-control agreements
• Advising companies, compensation committees, and boards on SEC disclosures related to executive compensation and governance
• Handling executive compensation issues in corporate transactions, including mergers, acquisitions, capital raises, public offerings, and joint ventures
• Collaborating effectively across disciplines, partnering with colleagues in labor and employment, corporate, tax, litigation, and employee benefits to provide integrated client service
