About the Role:
Hexagon’s Manufacturing Intelligence division is seeking an Associate Division Counsel (Americas) to support and manage a broad range of commercial legal matters in the Americas region. This is a Remote position.
Draft, review, and negotiate a broad spectrum of contracts, especially technology-related agreements such as:
- Software license agreements
- SaaS/cloud agreements
- Channel partner and supplier agreements
- Confidentiality agreements
- Terms of sale and professional services contracts
Serve as first point-of-contact for contract-related legal matters and guidance
Collaborate with business teams on certification responses and representations
Partner cross-functionally to ensure alignment with IP, cybersecurity, privacy, and compliance standards
Advise internal stakeholders on contractual rights, obligations, and risk implications
Ensure transactions and contracting practices align with Hexagon’s policies and risk standards
Stay up-to-date on legal trends in contract law, commercial law, and technology law
Contribute to process improvements in contract review efficiency and legal risk management
Support special legal initiatives alongside senior attorneys
Juris Doctor (JD) from an accredited U.S. law school
Active membership in at least one U.S. state bar
2+ years of experience drafting and negotiating commercial and technology contracts (in-house or law firm)
Core Skills:
Strong understanding of U.S. contract law and licensing structures
Proficient in Microsoft Word and Office suite
Excellent interpersonal communication, negotiation, and writing skills
Ability to manage multiple priorities and work autonomously in a fast-paced environment
High level of business acumen and sound legal judgment
Enthusiasm for collaborating with sales, procurement, and operational teams
Spanish and/or Portuguese language proficiency is a plus
Primarily remote with standard equipment usage (laptop, conferencing tools). Regular communication with internal teams and stakeholders across time zones. Must be able to review legal documentation extensively; vision requirements include close vision and ability to adjust focus. Travel may be required up to 10%.
