About the Role:


Hexagon's Manufacturing Intelligence division is seeking an Associate Division Counsel (Americas) to support and manage a broad range of commercial legal matters in the Americas region. This is a Remote position.


Job Responsibilities


  • Draft, review, and negotiate a broad spectrum of contracts, especially technology-related agreements such as:


    - Software license agreements


    - SaaS/cloud agreements


    - Channel partner and supplier agreements


    - Confidentiality agreements


    - Terms of sale and professional services contracts




  • Serve as first point-of-contact for contract-related legal matters and guidance




  • Collaborate with business teams on certification responses and representations




  • Partner cross-functionally to ensure alignment with IP, cybersecurity, privacy, and compliance standards




  • Advise internal stakeholders on contractual rights, obligations, and risk implications




  • Ensure transactions and contracting practices align with Hexagon's policies and risk standards




  • Stay up-to-date on legal trends in contract law, commercial law, and technology law




  • Contribute to process improvements in contract review efficiency and legal risk management




  • Support special legal initiatives alongside senior attorneys



Qualifications


  • Juris Doctor (JD) from an accredited U.S. law school




  • Active membership in at least one U.S. state bar




  • 2+ years of experience drafting and negotiating commercial and technology contracts (in-house or law firm)




Core Skills:




  • Strong understanding of U.S. contract law and licensing structures




  • Proficient in Microsoft Word and Office suite




  • Excellent interpersonal communication, negotiation, and writing skills




  • Ability to manage multiple priorities and work autonomously in a fast-paced environment




  • High level of business acumen and sound legal judgment




  • Enthusiasm for collaborating with sales, procurement, and operational teams




  • Spanish and/or Portuguese language proficiency is a plus




Work Environment:


Primarily remote with standard equipment usage (laptop, conferencing tools). Regular communication with internal teams and stakeholders across time zones. Must be able to review legal documentation extensively; vision requirements include close vision and ability to adjust focus. Travel may be required up to 10%.
