Job summary

Certara is seeking a commercially focused attorney to support U.S. legal contracting within the biopharma sector. The role covers negotiating and drafting a broad portfolio of agreements, from MSAs and SaaS to data privacy and vendor contracts.

The attorney will manage matters from intake to signature, enforce templates, and advise stakeholders across Sales, Privacy, and Procurement while contributing to process improvements and knowledge management.

Qualifications

Responsibilities:

negotiate and draft a broad portfolio of agreements including master services, SaaS, data privacy, vendor, and development contracts; manage matters from intake to signature; ensure consistent application of templates and playbooks; advise stakeholders across departments such as Sales, Privacy, and Procurement; contribute to process improvements and knowledge management.

Requirements:

JD and active legal license in the U.S.; 1-3 years of relevant experience in commercial transactions from law firms or in-house legal teams; strong drafting and negotiation skills, especially for MSAs, SaaS, and privacy agreements; familiarity with life sciences or health technology transactions, HIPAA, and GDPR preferred; excellent organization, judgment, and responsiveness.
