Job summary

Qualifications

• JD degree from a leading law school is required.
• Active license and good standing in Illinois or at least one US jurisdiction is required.
• Experience drafting and negotiating commercial agreements is preferred.

Responsibilities

• Draft, review, negotiate, and manage a wide range of commercial agreements.
• Provide legal support related to manufacturing, supply chain, and regulatory matters.
• Assist with corporate governance and board/committee materials.
• Support compliance programs including anti-bribery, trade controls, and privacy.
• Coordinate with outside counsel and internal stakeholders on litigation matters.

Job Description

This role offers a starting range of $150,000 to $165,000 annually. Actual compensation will be based on qualifications such as experience, education, certifications, and skills, as well as geographic considerations.

INX is seeking a motivated and detail-oriented Associate Counsel as support primarily to the Company's North American, South American, and Oceania business operations, as well as secondary support to Company's European and global business operations, partnering with internal stakeholders to manage legal risk while advancing strategic and operational objectives. This role supports commercial transactions, manufacturing operations, supply chain management, corporate governance, regulatory compliance, and related legal matters affecting a leading multinational manufacturing enterprise. This position is intended as a developmental role within the Legal Department with a progression path toward Corporate Counsel.

Essential Duties & Responsibilities:

As an Associate Counsel, you will be responsible for:

• Commercial Transactions
  • Draft, review, negotiate, and manage a wide range of commercial agreements, including:
    • Customer sales agreements
    • Distribution and dealer agreements
    • Supplier and procurement contracts
    • Service and maintenance agreements
    • Non-disclosure agreements
    • Software and technology agreements
    • Logistics and transportation contracts
  • Advise business teams regarding contractual rights, obligations, and risk allocation.
  • Assist with contract strategy and dispute resolution involving customers, suppliers, and business partners.
• Manufacturing and Operations Support
  • Provide legal support related to manufacturing, supply chain, sourcing, inventory management, and operational activities.
  • Assist with product-related legal matters, including product safety, warranty, and product liability issues.
  • Support implementation of business initiatives affecting production facilities and distribution operations.
  • Partner with operations and procurement teams to address commercial and regulatory risks.
• Corporate and Governance Matters
  • Assist with corporate governance activities, including maintenance of corporate records for multiple entities and preparation of board and committee materials.
  • Support domestic and international subsidiary management and related corporate filings.
  • Assist with entity formation, restructuring, and other corporate transactions.
• Compliance and Regulatory Affairs
  • Support the Company's ethics and compliance programs.
  • Assist with compliance initiatives involving anti-bribery, trade compliance, sanctions, competition law, privacy, and other applicable regulatory requirements.
  • Conduct investigations and fact-finding activities as directed.
  • Monitor legal and regulatory developments affecting the Company's global operations.
• Litigation and Disputes
  • Assist in managing litigation, claims, and administrative proceedings.
  • Coordinate with outside counsel and internal stakeholders.
  • Support document collection, case strategy, and settlement activities.
• Employment and General Legal Support
  • Provide legal support on employment and labor matters in partnership with Human Resources.
  • Conduct legal research and prepare legal memoranda, policies, and guidance materials.
  • Develop and deliver training regarding legal and compliance topics.
  • Perform other duties and special projects as assigned by Chief Legal Officer.

Qualifications

To perform your job as expected, you will be required to:

• Juris Doctor (JD) degree from a leading law school.
• 2-5 years related experience in a leading law firm, sophisticated in-house legal department, or combination of both.
• Have an active license and good standing in Illinois or at least one U.S. jurisdiction.
• Experience drafting and negotiating commercial agreements.

In addition to these qualifications, we will consider it a plus if you have:

• Exposure to corporate matters, manufacturing, supply chain, distribution, commercial transactions, compliance, employment, risk or litigation matters.
• Proficiency with Microsoft 365 applications and contract management systems.
