Job description

The Associate Counsel will be responsible for providing legal support on a wide variety of matters, including insurance product matters, broker-dealer regulation, ongoing maintenance of insurance regulatory requirements, and general commercial and advisory counsel to clients. This position interacts with fellow in-house legal personnel as well as multiple Axcelus Financial business units. Prior experience in regulated financial industries, particularly insurance or broker-deal regulation, is a plus. This position is based in Philadelphia, PA and reports to the SVP & Deputy General Counsel as a member of the Legal Department.

Responsibilities
  • Perform research and analysis and provide advice on a wide array of legal matters that may arise
  • Provide comprehensive solutions to complex problems or needs including negotiating agreements and drafting contracts for complicated services and relationships related to Axcelus Financial’s insurance and broker-dealer operations
  • Responsible for ensuring compliance with state and federal laws and regulations across the organization and with contracted partners
  • Analyze changes to regulatory requirements and proactively manage regulatory developments
  • Provide counsel and advice to various business units including Axcelus Financial’s Bermuda affiliates
  • Draft and negotiate business arrangements in support of the marketing and sale of complex products
  • Draft and maintain insurance product offering materials in support of Axcelus Financial’s variable insurance products
  • Review and provide analysis relating to private investment funds offered as investment options under Axcelus Financial’s variable insurance products
  • Responsible for demonstrating excellent communication and drafting skills and responsibilities, such as the ability to handle multiple matters and to move between different substantive areas of the law
  • Completes special projects specific to the function of the department or as needed for the department
  • Other duties as assigned within the scope of position expectations
Skills & Experience
  • 2 to 5 years of relevant experience in a law firm and/or an in-house law department
  • Juris Doctor degree from an ABA-accredited law school
  • Active admission to the Bar of at least one US jurisdiction, and eligibility for Pennsylvania Limited In-House Corporate Counsel License if not admitted to the Pennsylvania Bar.
  • Regulatory background preferred
  • Knowledge of variable insurance products and/or private investment securities industry, as well as insurance industry compliance issues, is a strong plus
  • Commercial contract negotiation experience is a plus, but not required
  • Experience using artificial intelligence applications and emerging legal technology tools is a plus, but not required
  • Corporate M&A exposure is a plus, but not required
  • Must have the ability to competently manage multiple projects and transactions; project management skills, strong personal accountability, follow-up and initiative
  • Excellent communication skills (oral, written and presentation)
  • Creative problem-solving ability and the ability to balance business and legal needs
  • Strong interpersonal and collaboration skills
  • Mental agility and adaptability
  • Ability to set priorities and meet multiple deadlines
  • High attention to detail
  • Experienced user of standard office and regulatory software
