Job summary

Smarty is building a legal function in Orem, UT and seeks an Associate Counsel to own contracts, risk, and compliance from day one. You will partner with In-House Counsel on reviews, redlines, and vendor agreements, while leveraging AI to streamline workflows.

Ideal candidates hold a JD, are admitted or pending bar in at least one state, and bring 0–5 years of experience with a tech or SaaS focus. This is an onsite role with competitive compensation and broad benefits.

Qualifications

• JD from an ABA-accredited law school.
• Active or in-process bar admission in at least one U.S. state.
• 0 to 5 years of experience in law firm, in-house, or clerkship.
• Interest in technology law, SaaS, or software industry.
• Strong written and verbal communication; translate legal complexity clearly.
• Comfort discussing APIs, cloud infrastructure, and software architecture.

Responsibilities

• Lead AI-assisted legal research, contract review, and drafting as part of daily work.
• Identify opportunities to streamline tasks with CLM or legal workflow tools.
• Stay current on legal tech trends and share practical insights.
• Review and redline standard agreements (SaaS, MSAs, DPAs, NDAs, vendor contracts).
• Manage redline cycles and escalate non-standard terms to In-House Counsel.
• Support Sales to maintain smooth deal cycles and keep templates updated.

We're building a legal function that runs as smart and efficiently as the products we sell, and we need an Associate Counsel to help get us there. You'll own a genuine slice of that work from day one, partnering with our In-House Counsel on contracts, risk, and compliance while actively using AI and legal technology to streamline how we operate. This is an onsite, non-remote opening in Orem, UT.

What You'll Do

• Legal Technology & AI
• Use AI-assisted tools as a core part of your daily workflow, including legal research, contract review, document drafting, and process improvement.
• Identify opportunities to streamline and automate routine legal tasks, bringing a continuous improvement mindset to how the legal function operates.
• Stay current on emerging legal technology and share insights with the team on tools and practices worth adopting.
• Contracts & Commercial Agreements
• Partner with In-house Counsel on review and redlining of standard agreements, including SaaS subscriptions, MSAs, Data Processing Agreements (DPAs), NDAs, and vendor contracts.
• Manage redline cycles with counterparties, escalating non-standard terms and elevated risk positions to In-House Counsel.
• Partner with Sales to keep deal cycles moving, and maintain contract templates.
• Implement and use contract lifecycle management (CLM) or legal workflow tools.
• Risk Identification & Mitigation
• Work with In-house Counsel to conduct legal risk assessments across product features, go-to-market strategies, and third-party integrations.
• Advise internal stakeholders on liability exposure in contracts and operations.
• Work across teams with compliance, IT and engineering to identify and mitigate risk, contributing to periodic risk reporting.
• Data Privacy & Regulatory Compliance
• Support compliance with GDPR, HIPAA Privacy and Security Rules, CCPA/CPRA, and emerging privacy frameworks.
• Monitor regulatory developments relevant to SaaS, AI, and cloud services and translate implications for the business.

What You Bring

• A technical mindset and genuine enthusiasm for using AI tools for legal research, contract review, or drafting, and a curiosity about how those tools are changing the practice of law.
• JD from an ABA-accredited law school.
• Active or in-process bar admission in at least one U.S. state.
• 0 to 5 years of experience (law firm, in-house, or clerkship); new graduates are encouraged to apply.
• Demonstrated interest in technology law, SaaS business models, or the software industry.
• Strong written and verbal communication skills, with the ability to translate legal complexity into plain language.
• Technical literacy: you do not need to code, but you should be comfortable discussing APIs, cloud infrastructure, and software architecture at a conceptual level.
